Manager - Sales and Purchase Agreement Advisory - Transaction DiligenceJoin to apply for the Manager - Sales and Purchase Agreement Advisory - Transaction Diligence role at EYRole OverviewWe are seeking an experienced Manager to join our expanding Sale & Purchase Agreement Advisory (SPA) team within the Oceania Transaction Diligence practice. This team has in-depth expertise from working on over 400 deals, providing contractual solutions to financial and commercial issues during negotiations, and is one of the few specialist teams of its kind in Australasia.Key ResponsibilitiesLead end-to-end SPA advisory engagements for acquisitions or disposals by private equity investors, funds, or strategic corporate clients.Collaborate with clients, their bankers, legal advisers, and transaction diligence teams to analyze cash, debt, and working capital adjustments, prepare pricing schedules, review financial aspects of Sale & Purchase Agreements, and assist with Completion Accounts and Leakage reviews.Advise clients on purchase price mechanisms, providing deal-relevant insights and recommendations based on your technical and commercial experience.Review diligence findings, analyze financial results, and conduct interviews with target management.Support negotiations with clients, ensuring detailed and compelling outputs.Work with other EY teams to deliver integrated client solutions.Build and maintain strong relationships with internal and external stakeholders to grow your project portfolio, focusing on high-value opportunities.Qualifications and ExperienceAt least 5 years of experience in professional services, chartered accounting, or in a corporate finance/M&A role.Bachelor’s or Master’s degree in accounting, finance, business, or economics.Member of the Institute of Chartered Accountants (CAANZ) or equivalent.Experience in Transaction Diligence or M&A environments, leading multiple engagements and working with senior stakeholders.Proven ability to build client trust and provide expert advice.Strong relationship management skills with internal and external stakeholders.Adaptability, teamwork, and a keen interest in business and deal drivers.Attention to detail and client service excellence.What We OfferOpportunities for career development at www.ey.com/au/careerdevelopmentFlexible working arrangements at www.ey.com/au/flexibilityCommitment to diversity and inclusion at www.ey.com/au/diversity-inclusivenessComprehensive benefits, including wellness, financial wellbeing, and family policies, such as 26 weeks of gender-neutral paid parental leave at www.ey.com/au/benefitsAdditional InformationEY values diversity and inclusiveness, encouraging applications from all backgrounds.
