About the Team Our client's corporate transactions team represents a premier practice in the Australian market, reflecting their market-leading position. The team advises on the full range of commercial and corporate transactional and advisory work, serving as preferred legal advisers to local and international corporates, leading investment banks, funds and financial sponsors and government. Their work spans cross-border mergers and acquisitions, divestments, private equity, joint ventures, restructures and capital market transactions (including public takeovers, schemes of arrangements and IPOs), as well as day-to-day corporate head office advice including commercial agreements and governance arrangements. This is supported by specialist knowledge across highly regulated industries including insurance, financial services, health, energy and resources and infrastructure. About the Role As a result of a growing pipeline of work, our client's Corporate Transactions team is looking to hire an experienced Senior Associate in Brisbane. The firm combines the benefits of a leading corporate practice with a supportive and collegiate environment, looking to make a long-term investment in a Senior Associate who is similarly looking to make a long-term career commitment to their corporate practice. This vacancy represents an outstanding opportunity for a team-player with strong technical skills who is commercially astute. The Corporate Transactions team in Brisbane is well established and highly engaged, with rare opportunities to join this elite team. Key Responsibilities Advise clients on Corporations Act, ASX Listing Rule and foreign investment requirements, providing cogent, commercial and strategic structuring advice Draft and review legal documents and agreements including sale and purchase agreements, joint venture/shareholders' agreements, scheme and bid implementation agreements, pre-bid agreements, subscription agreements and underwriting agreements Prepare disclosure documents such as bidder's and target's statements, scheme booklets and prospectuses Lead negotiations with counterparties and liaise with corporate and accounting advisers in complex corporate transactions Prepare formal legal opinions and handle matter completion and post-closing work Business development and networking activities Contribute to department know-how and mentor junior lawyers in conjunction with partners Senior Associate Role Expectations You will be expected to: Act with integrity to provide incisive advice to clients and work collaboratively with colleagues Take day-to-day responsibility for matters with suitable direct client contact Proactively progress complex matters with appropriate partner support Demonstrate excellent attention to detail and a thorough, disciplined approach to identifying and resolving legal issues Show well-developed verbal and written communication skills with innovative drafting abilities Be confident and effective in negotiations with clients and counterparties Communicate effectively with clients to understand their needs and provide practical, cost-effective solutions Build and maintain client relationships, impressing them with depth of legal knowledge and commercial awareness Understand business development and work with the team to identify opportunities Build and maintain a network of business contacts and identify cross-selling opportunities Identify when team members need support and provide constructive feedback Help build team morale and contribute to a positive work environment About the Ideal Candidate We are looking for someone who has: 4-8 years broad corporate experience with a focus on transactional work, preferably gained within a top-tier firm, mid-tier firm or in-house Exposure to resources industry, renewables industry, government work, and public M&A and ECM transactions (desirable but not essential) Excellent communication skills, both written and verbal Superior drafting ability with strong attention to detail Commercial approach with ability to articulate and negotiate effectively Well-developed analytical skills and ability to work both independently and as part of a team Proactive, positive and energetic approach with commitment to excellent service Desire to interact with the market and build client relationships Why Apply?
