Around the world, millions of children are left without the mobility they need to learn, play and belong. Wheelchairs For Kids Australia builds and donates rough‐terrain, adjustable wheelchairs for children living with disability in under‐developed countries. Made by our volunteers to World Health Organization guidelines, each wheelchair brings the hope of better health, education and inclusion – the building blocks of a brighter future.
Wheelchairs for Kids Australia is a volunteer‐based organisation with a manufacturing workshop located in Wangara, WA. The CEO is a paid role. It is a company limited by guarantee and a registered charity.
Key Responsibilities Governance and Board Support
* Organise Board and committee meetings, including preparing and distributing agendas, taking minutes, and maintaining accurate meeting records.
* Maintain a governance calendar to track key compliance dates, Board meetings, and policy reviews.
* Support the Chair and Board with governance advice, policy development, and adherence to the organisation's constitution and legal obligations.
* Assist with onboarding new Board members and support ongoing governance training.
* Work with the CEO, ensuring good governance is being maintained.
Legal and Regulatory Compliance
* Ensure compliance with relevant laws and regulations including the Australian Charities and Not‐for‐Profits Commission Act 2012, and, where applicable, the Corporations Act 2001 or state‐based Associations Incorporation Act.
* Lodge required documents and updates with the ACNC, and, if applicable, ASIC or other state regulatory bodies (e.g., annual information statements, changes to directors).
* Maintain up‐to‐date registers, including Board member details, conflict of interest declarations, and key corporate documents.
Policy and Documentation Management
* Oversee the development, review, and implementation of governance policies and procedures (e.g., conflict of interest, risk management, code of conduct).
* Ensure the constitution and other governing documents are current and accessible to the Board.
* Manage secure storage of governance records, resolutions, and other legal documentation.
Stakeholder Liaison and Support
* Act as a liaison between the Board and regulatory authorities (e.g., ACNC, ASIC, state regulators).
* Ensure transparent and timely communication between the Board and any key external stakeholders.
* Support the Chair and Board in responding to legal, compliance, and governance queries.

Time Commitment
* Attend bi‐monthly Board meetings (in‐person or virtual).
* Prepare meetings, administer compliance, and provide ad‐hoc governance support.
* Be available to respond to governance and compliance queries outside of meetings when needed.
