Assistant Manager, Company Secretarial

We have an exciting opportunity for you to join our team as Assistant Manager, Company Secretarial (CoSec), based either in our vibrant Melbourne or Sydney office. This role will be responsible for ensuring that the Company and compliance obligations are met for several ASX listed and private entities.
You will manage your own portfolio of high-profile clients, building solid relationships and overseeing all aspects of client service delivery and business development. You’ll also collaborate closely with a team of experienced Company Secretaries and Lawyers, as well as our accounting colleagues, to provide integrated governance and compliance support.
Key Responsibilities
- Prepare and lodge ASIC forms.
- Coordinate and prepare materials for client Annual General Meetings and General Meetings.
- Oversee the day-to-day management of company secretarial functions and governance matters.
- Maintain statutory records for the Group’s entities and subsidiaries, ensuring accuracy and compliance.
- Prepare and lodge ASX announcements.
- Draft minutes and circular resolutions.
- Prepare and maintain corporate governance documents.
- Manage share and security matters, including performance rights, options, and capital market events such as Share Purchase Plans (SPPs) and Rights Issues.
- Prepare and distribute Board papers for entities within the client portfolio.
- Ensure all internal and external compliance deadlines are met in accordance with ASX and ASIC requirements, including quarterly, semi-annual, and annual reports.
- Manage compliance requirements in overseas jurisdictions.
- Attend Board and Committee meetings as required.
Key Requirements
- Graduate in law, commerce or Company governance preferred.
- Previous experience as an Associate Company Secretary, Company Secretary, or Senior Associate in a legal team, with strong exposure to company secretarial and legal matters.
- Experience in reviewing legislation and the ASX Listing Rules, drawing conclusions, identifying trends and issues, and diagnosing the root cause of issues.
- Exceptional accuracy and attention to detail, with strong organisational and time management skills.
- Excellent communication skills, with the ability to engage effectively at all levels within the organisation and with external stakeholders.
- Strong commitment to confidentiality, professionalism, and delivering high-quality work with strong written literacy and punctuality.
- Proficient in company secretarial software applications and electronic board portal systems.
