**The Role and Duties**:
- Provide a comprehensive range of company secretarial services in conjunction with high quality relationship management to a portfolio of proprietary, public unlisted or Not-For-Profit entities, managing all levels of company secretarial compliance. Ensuring that Boardroom's contractual obligations to clients are met and that clients are billed in line with their contract.
- Deliver company secretarial services to clients that meet or exceed agreed service standards.
- Provide support to senior Company Secretaries with delivery of services to ASX listed clients.
- Managing and advising clients on ASIC and Corporations Act compliance and, where applicable, compliance with constitutions, including dealing with ASIC lodgements.
**Key Responsibilities**:
- Acting as the appointed Company Secretary to, and managing the corporate secretarial compliance of, a small portfolio of proprietary, public unlisted or Not-For-Profit entities, proactively and reactively managing all levels of service delivery and compliance.
- Co-ordinate, attend and minute board meetings, manage annual board calendars and workplans.
- Full project management of shareholder meetings, including managing timetables, drafting notices of meeting, preparing run sheets and presentations, and attend and minute the meeting.
- Ensure that the ASIC record is kept up to date at all times.
- Maintain the statutory books and records including share registry maintenance.
- Providing Company Secretarial advice and guidance to clients on a range of matters including company secretarial practice and compliance, board processes and corporate governance.
- Work closely with the Boards and Executive teams of client companies.
- Support to senior Company Secretaries with the delivery of services to ASX listed clients.
**Essential Criteria**:
Ideally you will have:
- A law/business/finance degree and be a studying or have completed your Graduate Diploma in Applied Corporate Governance.
- At least 2 years practical experience with ASIC compliance and general corporate secretarial duties.
- Excellent knowledge of the Corporations Act, ASIC and internal company requirements.
- Outstanding meeting management skills, including effective minute taking.
- Exceptional customer service and pro-active relationship management skills.
- Highly organised, able to prioritise and can manage multiple tasks.
- Experience with attending and minuting board meetings.
- Outstanding verbal and written communication skills.
- The ability to work both autonomously and as a member of a team.
- Excellent attention to detail and accuracy.
- Excellent organisational skills with the ability to prioritise work and meet deadlines.
- Excellent customer/client service skills, preferably with experience working in a client facing role.
**Location**:
Sydney preferred but would consider Brisbane or Melbourne.
