Legal Counsel | Private Credit and Property Finance (Sydney)
This opportunity sits within a growing private investment and real estate finance group with a national footprint. The firm specialises in mid-market property financing and provides bespoke private credit solutions across residential, office, retail and tourism assets. The platform has continued to scale its loan book and investor base, creating the need for a capable Legal Counsel to support its private credit and broader investment activities.
Role Overview
The Legal Counsel will work closely across the leadership and investment teams, supporting day-to-day transaction execution, structuring, documentation and legal risk management. The position is suited to someone with a strong grounding in banking and finance, ideally with exposure to property financing and construction-related transactions.
This is a hands‑on role with consistent engagement across transactions, internal stakeholders and external counsel. It offers broad exposure across financing, funds, regulatory and compliance work, alongside the opportunity to contribute meaningfully across the firm.
Key Responsibilities
- Support private credit transactions from term sheet through to settlement, including reviewing and negotiating loan agreements, security documents and ancillary contracts.
- Advise on structuring, execution and allocation of risk within financing arrangements.
- Draft and negotiate mandates, confidentiality agreements, fee letters, trustee appointments and supporting documentation.
- Assist with funds management, regulatory matters and compliance activities where required.
- Manage external counsel to ensure high-quality and cost-effective delivery.
- Collaborate daily with investment, analyst and senior management teams on strategic and commercial decisions.
- Contribute broadly across the business with a flexible and proactive approach.
Candidate Profile
- 3 to 5 years PQE, trained at a reputable Australian law firm.
- Strong grounding in banking and finance with direct experience in property financing.
- Exposure to construction finance is welcomed.
- Sound drafting, negotiation and organisational skills.
- Confident communicator able to engage effectively with senior stakeholders and external parties.
- Commercial mindset with a practical approach to problem solving.
- Adaptable and comfortable working in a fast-paced, hands‑on environment.
