An exceptional opportunity exists for a senior governance and legal leader to join one of our highly respected clients in WA.
Reporting to the General Counsel, this senior and integral role will lead and elevate the Group Company Secretariat function, ensuring best-practice governance, statutory compliance and high-quality board support.

The Role
You will lead the Group Company Secretariat as a true centre of excellence, supporting boards and senior leadership with governance oversight, regulatory compliance and strategic advice.
Key responsibilities include:
Governance & Company Secretariat
* Lead and manage the Group Company Secretariat function
* Oversee compliance with Corporations Act, ASIC and other regulatory requirements
* Ensure timely statutory filings and maintenance of corporate records
* Provide governance advice to Chairs, Boards and senior executives
* Oversee policy review, compliance reporting and governance frameworks
* Act as Company Secretary for selected entities as required
* Implement governance training and awareness programs
Legal & Commercial Advisory
* Provide advice on corporate, commercial, regulatory and operational matters
* Support transactions, investments and broader group initiatives
* Ensure compliance with relevant legislation including Corporations Act, ACCC, FIRB and related frameworks
Leadership
* Lead and mentor a small, high-performing team
* Work closely with the General Counsel and executive stakeholders
* Manage external legal advisers where required
About You
You are a senior legally qualified governance professional with:
* 12 + years PQE
* 10+ years’ Company Secretariat experience
* Current WA practising certificate
* Must have Governance Institute of Australia (or equivalent) Chartered Secretary qualification
* Strong knowledge of ASIC requirements and Corporations Act compliance
* Experience with board management systems (e.g. Diligent), CAS360 and ASIC portals
* Proven ability to operate confidently with Boards and executive leadership
You are commercially astute, discreet, values-aligned and capable of balancing strategic oversight with operational excellence.
