Metro Mining Limited (ASX: MMI) is an Australian mining company based in Brisbane. Metro's flagship project, the Bauxite Hills Operation, located 95km north of Weipa, is one of the largest independent projects within the internationally acclaimed Weipa Bauxite Region.
We are seeking a General Manager – Legal Counsel to lead the legal, governance, compliance and risk functions, providing commercially pragmatic and solutions‐focused advice to the CEO, Executive Leadership Team and Board.
The role is responsible for managing complex legal matters, supporting strategic decision‐making, strengthening governance and compliance frameworks, and protecting the company's interests across its corporate and operational activities.
Depending on the successful candidate's capability and experience, the role may also assume Company Secretary responsibilities or oversee the Company Secretariat function and related support. Previous exposure to ASX‐listed company secretariat responsibilities is highly regarded, though not essential.
This position plays a central role in shaping corporate and legal strategy, overseeing the development of the Group's risk, governance and compliance environment, managing external legal advisers, and enabling Metro Mining to pursue its growth objectives with confidence in a dynamic ASX‐listed mining environment.
Reporting to the Chief Executive Officer, this senior leadership role forms part of the Executive Team and provides strategic legal counsel across Metro Mining's operations, growth initiatives, governance framework and enterprise risk environment.
Key Responsibilities:
Strategic Leadership: Partner with the CEO, CFO and executive leadership team to provide legal input on corporate strategy, growth/ M&A opportunities, commercial initiatives and key business decisions.
Legal Advisory: Provide expert advice across corporate, commercial, regulatory, governance, disputes and operational matters. Identify legal and regulatory risks early and develop practical mitigation strategies that support sound business outcomes.
Strategic and Corporate Transactions: Support mergers, acquisitions, divestments, capital raisings and strategic transactions by providing expert legal support, including assisting with due diligence processes and finalisation of transaction documents.
Commercial Contracting: Draft, review and negotiate a broad range of complex agreements, including supply, procurement, construction, logistics, services, project, joint venture and other commercial contracts, ensuring alignment with legal requirements and business priorities.
Governance and Compliance: Support the Board and executive team on governance and compliance obligations and monitor relevant legal and regulatory developments affecting an ASX‐listed mining company. Help maintain policies, frameworks and controls that promote compliance, accountability and high ethical standards.
Risk Management: Oversee the management and maintenance of the Company's enterprise risk management framework, including risk reporting to the executive leadership team and to the Board.
Leadership and Team Development: Lead, mentor and develop team members across legal, risk and compliance activities, fostering high performance, sound judgement and a strong culture of integrity and collaboration.
Disputes and Asset Protection: Oversee disputes, claims and external litigation as required, manage external counsel effectively, and protect the company's legal, contractual and commercial interests.
Training and Enablement: Build legal capability across the business by developing guidance, delivering training and supporting leaders to understand contractual, regulatory and governance responsibilities.
Stakeholder Engagement: Work closely with finance, operations, people and culture, procurement and other internal teams, as well as external advisers and regulators, to deliver integrated legal support across the organisation.
About you:
Professional Qualifications: Admitted legal practitioner in Australia with strong post‐qualification experience in corporate, commercial and regulatory law.
Relevant Experience: Ideally 15 years' legal experience, combining top‐tier or reputable private practice with in‐house exposure. Experience supporting listed entities, major commercial projects, transactions or regulated operations will be highly valued.
Communication and Judgement: Strong ability to distil complex legal issues into clear, practical advice for senior stakeholders and to exercise sound judgement in fast‐moving environments.
Leadership Capability: Demonstrated ability to lead or influence teams, manage external advisers and contribute meaningfully to executive and Board‐level discussions.
Commercial Mindset: Pragmatic, resilient and commercially astute, with the ability to balance risk management with strategic and operational objectives.
