**THE OPPORTUNITY**:
We are seeking an Assistant Company Secretary to join our Company Secretarial Team and assist with governance and company secretarial support duties for Pilbara Minerals and its subsidiaries.
This position is offered as a full-time permanent role which is based at our lovely office in West Perth office.
Key responsibilities for this position include:
- Assisting with the facilitation of board, audit and risk, people and culture, and sustainability committee meetings, by compiling and distributing board and committee agendas and following up on action items.
- Facilitating the preparation of monthly management reports to the Board.
- Coordinating security trading requests including arranging requisite approvals.
- Assisting with the maintenance of various Company registers, in conjunction with the Company's share registry.
- Maintaining the Board and Committee resource centre, ensuring the availability of Company policies and procedures, meeting minutes, budgets and forecasts, and management reports.
- Responding to employee queries regarding employee incentive schemes including security holdings.
- Providing support in administering the company's executive and non-executive remuneration framework including short-term and long-term incentive schemes.
- Reviewing and verifying ASX announcements, as required.
- Managing the Board and Committee Annual Calendar and Company Secretarial Calendar ensuring that obligations under the Board and Committee Charters, and employee incentive schemes are met.
- ASIC filings and returns including annual returns for the Company and its subsidiaries.
- Providing assistance with shareholder meetings including the Annual General Meeting.
**ABOUT YOU**:
- Tertiary qualified in a business related discipline and ideally completion of a company secretarial course with a reputable body, such as the Governance Institute of Australia
- Demonstrated experience in company secretarial or executive assistant roles within an ASX listed company.
- Experience and confidence in liaising with Directors, Executives and Senior Managers.
- Strong time management skills including the ability to anticipate and plan for future events to be ahead of the game.
- Exceptional written communication skills, particularly relating to corporate documentation and business reports.
- Eye for detail with the ability to assist with proof reading ASX announcements and Board and committee papers.
- Strong Microsoft word experience, including Microsoft excel.
- High-intellect and strong interpersonal skills.
