Role Overview
We are seeking an experienced commercial lawyer to join our growing IT consultancy and managed service business. This role is ideal for a legal professional with strong contract expertise and an interest in supporting fast‑paced technology, sales, and account management environments. You will work closely with internal teams to review, draft, and negotiate a wide range of commercial and technology‑related contracts and templates, ensuring our business and clients are protected while enabling growth.
Key Responsibilities
Contract Review & Commercial Legal Support
Review, draft, and negotiate a variety of commercial and technology contracts, including service agreements, MSAs, SOWs and consulting agreements.
Identify legal risks and propose practical, business‑friendly solutions.
Global Team
While the commercial team is based in Australia, you will support cross-border matters involving our expanding operations in Canada and existing business in the United Kingdom. This position provides the opportunity to work on global engagements, and play a role in shaping our international commercial and compliance frameworks.
Support to Sales Team
Assist with tender responses, client onboarding requirements, and negotiation of commercial terms.
Participate in client meetings as required to clarify contract positions or legal obligations.
Support to Account Management Team
Manage contract variations, renewals, and amendments.
Assist with resolution of contractual queries, disputes, and performance obligations.
Provide guidance on compliance, service delivery obligations, and client relationship risks.
Business Development Support
Review partnership agreements, reseller arrangements, and strategic alliance documents.
Assist in assessing legal implications of new service offerings or market expansions.
Provide legal input into business development strategies and commercial frameworks.
Compliance & Risk Management
Advise on regulatory compliance matters affecting commercial operations, including privacy laws (GDPR), advertising standards and competition law.
Maintain and update contract templates, playbooks, and commercial legal guidance materials.
Support internal training on commercial and compliance matters.
Corporate Governance Support
Assist with board and management reporting on commercial legal matters and material risks.
Support corporate transactions, including due diligence for acquisitions, investments, or partnerships.
Assist with maintenance of corporate registers and help ensure compliance with company secretarial obligations.
Skills & Experience
Admitted as a Solicitor in Australia with the ability to hold a current practising certificate.
5+ years' post‑admission experience in commercial, IT, or technology law (in‑house or private practice).
Strong understanding of commercial contracting, IP, privacy, and technology‑related legal issues.
Ability to translate complex legal concepts into clear, actionable advice for non‑legal stakeholders.
Excellent stakeholder engagement skills, with the ability to work collaboratively across sales, delivery, and management teams.
Strong attention to detail and the ability to balance legal rigour with commercial pragmatism.
Working Arrangements
Catalyst is seeking a part‑time resource for three (3) days per week. This arrangement allows the successful candidate to manage their workload dynamically while maintaining an excellent work‑life balance, provided core responsibilities and deliverables are met.
