The Role
This is a senior governance appointment providing end‐to‐end company secretarial and advisory support across the Diocese's key entities. Working closely with the Bishop, Boards and executive leaders, you will play a central role in enabling effective governance, ensuring statutory compliance and supporting informed, mission‐aligned decision‐making. The role combines hands‐on delivery with trusted advisory responsibilities and will suit someone comfortable operating with influence and discretion.
Key Responsibilities
* Serve as Company Secretary across multiple Diocesan entities, including Catholic Education and Centacare
* Plan, coordinate and support Board and Committee meetings, including agendas, papers, minutes and action tracking
* Oversee compliance obligations across ASIC and ACNC, ensuring all filings and statutory requirements are met
* Maintain and enhance governance frameworks, policies, registers and constitutional documentation
* Provide high‐level governance, legal and regulatory advice to the Bishop, Boards and senior executives
* Support director induction, ongoing governance education and board effectiveness initiatives
* Navigate the interaction between civil law, canon law and relevant sector regulations
* Act as a trusted governance partner on risk, integrity and organisational policy matters
About You
* Tertiary qualifications in Law or a related discipline (civil law essential)
* Significant experience (typically 6+ years) in company secretarial, governance or senior legal roles
* Strong working knowledge of the Corporations Act and ACNC regulatory framework
* Experience within not‐for‐profit, education, aged care or similarly regulated environments
* Exceptional judgement, discretion and professionalism
* Confident communicator, capable of engaging credibly with boards and senior leaders
* Alignment with the mission and values of the Catholic Church, with the ability to work respectfully within a faith‐based setting
