Corporate Secretarial Manager

Intro:
This is a client facing role. The Manager II shall lead, coordinate, supervise company secretarial services to our key clients, ensure the quality of work and maintain good relationship with the clients. The Manage II shall also attend board meetings in person (including preparation of minutes) and work closely with the team on the other daily activities for all company secretarial related matters, including company formation, maintaining governance structures, completing statutory filings, and non-statutory and compliance related matters.
Some of the things you'll be doing:
Client Management and Client Service
* Actively communicate with clients/service providers/3rd parties on client services to maintain quality services and strengthen the relationship with all parties
* Provide excellent services to clients by addressing their inquiries promptly and professionally
* Oversees all requested tasks and responsible for a portfolio of clients, handling a wide range of company secretarial related duties including but not limited to
o Incorporation and deregistration of companies
o Preparation of minutes, resolutions and attending client meetings
o Updating and maintaining statutory filings and corporate records
o Changing in shareholdings and directorships
* Responsible for a certain number of complex requests directly and delegates the operational work to the team
* Provide advisory service to clients on company secretarial matters
* Handle non statutory matters such as due diligence on clients and opening of bank accounts, etc.
* Ensure timely billing of account through correct time writing and support cash collection
Business Development
* Identify potential cross selling opportunity by developing and maintaining a good relationship with existing clients, both locally and internationally
* Contribute to product/market development, together with Business Development
Compliance
* Gather the necessary KYC documents for internal onboarding processes and periodic reviews
* Assist in the periodic compliance review of companies and trusts, ensuring adherence to all relevant frameworks and regulatory requirements
* Monitor the overall set-up/acceptance process of new clients
* Actively monitor transaction of the companies in the portfolio
* Monitor and ensure progress of internal compliance obligations of the team to be reported to local/ group compliance on a regular basis
* Ensure compliance with up-to-date legal and regulatory standards, as well as internal compliance monitoring procedures
Team Management
* Supervise, guide and support the team to provide professional company secretarial services to clients
* Coach and mentor team members on performance and enhance the company secretarial practical skills in the team
* Provide technical training and share knowledge to team members
* Actively review and improve existing policies and procedures where necessary, as well as implement any relevant new task-based procedures for team
What technical skills, experience, and qualifications do you need?
* Qualification in Corporate Governance or diploma/degree in related disciplines (law, accounting, business and finance)
* Practicing Chartered Secretary qualification with ICSA is preferred
* Minimum 8 years of relevant experience in a similar position, preferably in a legal, corporate secretarial or financial services environment, and a minimum of 2 years demonstrated management experience
* Solid client facing experience including managing regional client relationship and attending board meetings in person and preparing board minutes
* Acute understanding and passion of corporate management services
* Meticulous individual with strong sense of responsibility, pro-active client servicing aptitude and a commercial acumen in managing a portfolio of clients
* Strong communication skills, with the ability to manage multiple tasks efficiently and within deadlines
* Excellent time management skills, attention to detail, and the ability to prioritize and execute tasks effectively
* Fluent in both English both verbal and written
* A good team player, keen to learn, able to adapt in new challenges and with excellent communication skills
* Positive working attitude, fast learning, flexible
* Actively contribute and identify opportunity to the development and implementation of procedures and controls and implementing process improvement as necessary
* Proactive and able to work independently as well a part of a team
