Are you ready to step into a pivotal role that sits at the heart of corporate governance, compliance, and board operations for a fast-moving ASX-listed tech company? We're looking for a highly organised, detail-oriented professional to support our Company Secretary and leadership team in keeping the Group running smoothly across the Board, Committees, and subsidiaries.
This is a permanent part-time role (22.5 hours per week), ideal for someone looking to balance impactful, high-level work with flexibility.
What You'll Do
* Board & Committee Support: Prepare agendas, collate papers, take accurate minutes, and track action items. Keep the annual board calendar on point for the Board, Audit & Risk, and Nomination & Remuneration Committees.
* ASX & ASIC Compliance: Assist in drafting and lodging routine ASX announcements, maintain corporate records, and help prepare annual Corporate Governance Statements.
* Subsidiary & Share Registry Management: Support governance across domestic and international subsidiaries, liaise with the Share Registry, and maintain corporate registers.
* Risk & Policy Support: Help maintain the Group's risk framework, equity registers, and ensure compliance with insider trading and securities policies.
* Shareholder Meetings: Support the planning and execution of AGMs and EGMs, including Notices of Meeting, proxies, and polling.
You'll work closely with the CFO, Company Secretary, General Counsel, Directors, and regulators (ASX, ASIC) to make sure everything runs seamlessly.
We'd Love to Hear From You If You Tick Some of These Boxes
* Qualifications & Experience: Degree in Law, Business, or Governance; Chartered Secretarial qualifications or GIA Graduate Diploma highly regarded. 2–3 years in legal, compliance, or in‐house corporate administrative roles – listed environment or top‐tier/mid‐tier law firm experience preferred.
* Technical Knowledge: Understanding of Corporations Act 2001 and ASX Listing Rules; near‐perfect proofreading and document formatting skills.
* Skills & Attributes:
o Strong organisation, attention to detail, and ability to manage multiple priorities
o Discretion handling sensitive and price‐sensitive information
o Confidence to exercise judgment and elevate appropriately
o Excellent written and verbal communication skills
o Collaborative mindset with the ability to work autonomously
o Professional presence to interact with C‐suite executives and Non‐Executive Directors
