**YOUR KEY RESPONSIBILITIES**:
The Head of Legal ANZ is responsible, in coordination with the regional Management Team, to:
(a) manage all legal affairs, corporate affairs and compliance related matters;
(b) provide legal advice in the day-to-day activities of the project teams leading the business of CNH Industrial, supporting all functions of the business (including without limitation commercial, purchasing, parts and service, after market services, product quality, product support, network development, finance, accounting, human resources, logistics, manufacturing etc.);
(c) draft and negotiate (with both internal colleagues and third parties) legal documents such as, agreements, meeting minutes, letters etc., as better described below;
(d) provide legal support with respect to all business development and strategy initiatives and projects in the area;
(e) deliver preventative advice to the business team to avoid business risks, mitigate litigation to the possible extent, reaching proper settlement agreements where appropriate; manage litigation caseload including, without limitation, collection of receivables from importers, distributors, dealers or other clients', insolvency matters (supported by external law firms as necessary);
(f) coordinate with the Legal Manager Financial Services, Asia Pacific as needed;
(h) coordinate with the other members of the legal team in Asia Pacific and with the Intellectual Property department, in providing legal support to the day-to-day operations of CNH Industrial in the area;
(i) support cross border transactions involving ANZ and other countries of Asia Pacific or other regions;
(l) actively participate as a member of the Asia Pacific legal team and of the global CNH Industrial legal department;
According to the specific situations, he/she shall undertake the following activities:
- Be a role model of integrity; ethics is a key value in the legal team and for CNH Industrial as a company;
- Providing legal advice on contract law, commercial law, corporate law, import and distribution/dealership law, product warranty and product liability, antitrust law, insolvency law, debt collection procedures, mergers and acquisitions, joint ventures, strategic co-operations;
- Developing multiple legal options to help the internal clients/colleagues to achieve business objectives and evaluate legal advantages and disadvantages of the various options so to take informed decisions (high focus on business and client solution-orientation);
- In coordination with, and instructing, the contract management team, creating, maintaining, updating and managing appropriate and organized documentary and electronic files and archives regarding ANZ ongoing legal and corporate matters and documents, including without limitation dealer and/or distributor agreements; supply agreements; other agreements and the corporate documents of all the legal entities (companies, joint ventures, branches and/or representative offices) in ANZ;
- Drafting and reviewing corporate documents, minutes of meetings, letters and any related legal documents (e.g. delegation of authority, powers of attorney, corporate resolutions, etc.);
- Drafting, reviewing with a practical and constructively critical commercial approach, and negotiating with both internal clients/colleagues ad third parties legal contracts such as, for instance: whole goods, components and/or spare parts supply agreements; framework supply agreements; OEM supply agreements; import and distribution agreements; dealer agreements; authorized work-shop agreements; non-disclosure and/or confidentiality agreements; consultancy agreements; services agreements; IPRs license agreements; consignment agreements; loan and permanent loan agreements; commission agreements; direct sale fee letters; agency agreements; settlement agreements; real estate (land and/or building) lease agreements; corporate guarantees and/or other collaterals; etc.;
- Drafting and reviewing various incentive program letters (to support marketing activities, road shows, sales, training, etc.);
- Advising on tender/s participation in the Countries, reviewing the bid documentation and drafting bid offer and other related documents and certificates, as required on a case by case basis;
- Monitoring, reviewing, amending the standard forms of contracts of the distributor network in the Countries and of the dealer network in ANZ and implementing changes as required by applicable laws and/or internal guidelines, policies and procedures;
- Supporting the Network Development and the Contract Management departments in collecting and reviewing the corporate documents of distributors, dealers and/or other clients, and ensure compliance checks; complete and keep updated the contractual documentation of the distributors/dealers/sale network in the area;
