My client is a well-established South Australian commercial law firm supporting businesses across corporate, transactional and dispute matters. You'll be working across a broad portfolio of predominantly infrastructure projects with some renewables.

Key Responsibilities
* Deal Management: Serve as the primary point of contact, managing the transaction process from initial talks to closing.
* Due Diligence: Conduct comprehensive legal reviews of target companies, identifying risks and red flags.
* Specializing within M&A legal frameworks. Prepare and negotiate key documents: Merger Agreements, Share Purchase Agreements, Confidentiality Agreements, Disclosure Schedules, and Employment Contracts.
* Provide strategic advice on corporate, contract, tax, securities, and regulatory laws.
* Work with business teams to plan post-closing integration, addressing gaps and risks.
* Negotiate key commercial, legal and risk-allocation terms of a transaction – price, structure, protections, obligations and timelines.
