The Company A well‑established, fast‑evolving financial services organisation with operations across Australia and New Zealand is seeking an experienced Company Secretary & Governance Manager to play a pivotal role in its legal and governance function. This position reports to the Head of Legal & Group Company Secretary and works closely with Boards, Committees, Executive leadership and Shareholders across the group. It is ideally suited to a senior governance professional who enjoys combining technical precision with influence, judgement and strong stakeholder engagement. The Role This is a broad, high‑impact role responsible for the effective operation of company secretarial and governance activities across a complex, multi‑entity structure. You will take ownership of Board and Committee processes, help shape governance practices across the group, and provide trusted support to senior stakeholders, while remaining actively involved in the execution of core company secretarial work. What You'll Be Doing Lead company secretarial and governance support across multiple entities in Australia and New Zealand Plan, coordinate and support Board and Committee meetings, including preparation of materials, agendas, minutes and action tracking Partner with the Group Company Secretary to strengthen and evolve governance frameworks, including charters, delegations, reporting and templates Manage statutory obligations, corporate registers and regulator filings (with support from external registry providers) Oversee the integrity and management of corporate records, board materials and shareholder documentation Support shareholder engagement and approval processes, including resolutions and formal reporting Mentor and support internal stakeholders involved in governance and company secretarial activity About You You will likely bring: Proven hands‑on company secretarial experience within a multi‑entity or group structure Extensive exposure to senior‑level Board and Committee interactions, including high‑quality minute taking A track record of improving governance frameworks rather than simply administering them Strong organisational capability, attention to detail and the ability to manage competing priorities A pragmatic, collaborative approach and a genuine interest in governance that works in practice Why Consider This Opportunity?
