About the Role
Working closely with the Deputy CEO and Company Secretary, you'll provide leadership of the Institute's governance function, ensuring exemplary governance standards and compliance with all statutory and regulatory requirements, as well as supporting subsidiary Board chairs on governance matters. This Melbourne-based role is part of a small governance team and plays a key role in championing governance excellence across the organisation and building a strong governance culture.
What You'll Do:
Provide expert governance advice to the Board and senior leaders on governance matters, and drive continuous improvement of governance practices and processes
Support Board and committee meetings, including preparing papers, minutes and managing the Board calendar
Oversee compliance with legislation, regulations and the Constitution, including statutory reporting and oversee the annual reporting process
Manage governance aspects of membership processes, elections, AGMs and constitutional matters
Support the development and review of the Institute's risk management framework, ethics, codes of conduct and conflict-of-interest processes
Work closely with the Executive Officer Governance and build strong cross-team collaboration
What You'll Bring:
Tertiary qualifications in law, business, governance or related discipline
Graduate or Fellow of the Governance Institute of Australia (highly desirable)
Minimum 8-10 years' experience in a senior governance or Company Secretary role
Proven experience working with Boards and committees in a not-for-profit, membership-based organisation or similar entity
Comprehensive knowledge of the Corporations Act, ACNC legislation and other relevant statutory requirements
Deep understanding of corporate governance frameworks and regulatory environments for not-for-profit organisations
Demonstrated experience leading governance functions
Excellent communication skills with the ability to articulate complex governance matters clearly to diverse audiences
Strong stakeholder management skills with the ability to build trusted relationships and influence decision-making
High standards of professional ethics and personal integrity with sound judgement in handling sensitive information
