About the role:
We are seeking an Assistant Company Secretary to provide high-quality governance and compliance support across the organisation. Reporting to the General Counsel & Company Secretary, this role will be instrumental in ensuring effective governance practices, compliance with ASX Listing Rules and the Corporations Act, and supporting our Board and executive team.
Based at our Cowandilla office in Adelaide, the role offers flexibility and can be structured as full-time or part-time (such as four days per week or school hours).
What you'll do:
* Prepare Board agendas, packs, and resolutions, and manage the Board calendar
* Support the General Counsel & Company Secretary with the Annual Report, Corporate Governance Statement, and AGM
* Maintain statutory registers and corporate records, ensuring compliance with ASX and ASIC requirements
* Develop and maintain corporate policies and compliance frameworks (e.g. Privacy, Whistleblower, Anti-Bribery & Corruption, Modern Slavery)
* Partner with People & Culture to deliver the compliance training calendar
* Provide timely compliance advice to managers across the business
* Monitor regulatory changes and support policy updates
* Assist with corporate projects, including M&A transactions and strategic initiatives
* Provide back-up support to the Corporate Lawyer as required
What you'll bring:
We are looking for someone with governance expertise, strong attention to detail, and a collaborative mindset. To succeed, you will bring:
* 4–5 years post-admission experience in a well-regarded private law firm or in-house environment
* Knowledge of ASX Listing Rules and Corporations Act requirements for public companies
* Experience in company secretarial or governance matters, ideally supporting a Company Secretary
* Strong written and verbal communication skills, with confidence engaging across all levels of the organisation
* Highly organised with the ability to manage multiple priorities and deadlines
* Governance qualifications (e.g. Graduate Diploma of Applied Corporate Governance and Risk Management) and experience with commercial contract management would be an advantage but are not essential.
