The Opportunity This is an exciting opportunity for a motivated assistant company secretary, to join a leading Not-For-Profit organisation on a 3-day, part-time basis. The successful candidate will be a key member of the secretariat and governance function and will support the Deputy Company Secretary in the management and support of the Board and Board Committees administration related to the corporate governance, legal and regulatory obligations. The successful candidate will develop partnering relationships with key stakeholders, support executives and directors and deal with highly sensitive and confidential information. This role will also support the implementation and administration of corporate governance framework. Duties and Responsibilities Co-ordinate both Board and Committee meetings and liaise with Executives and Company Secretary, Chairs and Chief Executive Officer to determine clear agendas and timetablesManage communications with Company Secretary, including the production and dispatch of management reports and Board and Committee papers and agendas and review meetingsCreate agendas and shell minutesManage statutory filings and lodgements in timely manner, including ASIC Company StatementsCommunicate directly, and on behalf of the Company Secretary, with Board and Senior ManagementManage the Company Secretariat Group Mailbox and administrative requirements of Directors, including Director expensesKeep the Director and Board related pages of the Website and Intranet up to dateAssist with reviewing and improving operating practices within the Company Secretariat team to ensure it operates to its optimumMonitor security holder queries and working together with the Business to coordinate responses and posting on the Board portal Skills & Experience Experience in a similar company secretariat role supporting a company secretary / general counsel / chairmanExperience in or ability to use online board paper management systemA relevant undergraduate and/or postgraduate qualificationsGovernance qualifications with the Governance Institute of Australia (highly regarded)Organised, methodical and attentive to detailResponsive and highly efficient in the provision of administrative support including strong MS Office skillsProven experience to build and maintain relationships with relevant stakeholders including those at board level To apply for the role please email your resume to Sandra Crawford at sandra.crawford@jlegal.com.au JLegal is a leader in Executive Search & Recruitment.
