Our client is a leading provider of advanced electricity and gas meter infrastructure for commercial and industrial customers in Australia and New Zealand. A new opportunity has arisen for an experienced General Counsel/ Co Sec, to join the executive team. Reporting to the CEO in NZ, this is a brand new role to make your mark to ensure the business operates fully within the law at all times.
As General Counsel, you will become a key executive partner for legal, commercial and governance while providing strategic support to the Chief Executive and Executive team in matters relating to governance, regulatory matters and legal compliance and take a pro-active role in ensuring that policies and processes in this area are fit for purpose.
Key responsibilities:
- Protect and enhance the Company's endeavours, objectives and reputation by providing timely and appropriate legal and governance services
- Provide high-quality legal input to the deliberations of the Boards and the Executive team
- Provide the necessary legal input on all transaction and contractual negotiations
- Develop a corporate legal strategy that promotes and protects the business interests
- Ensure effective processes and systems for the execution of contracts and other legal documents by authorised signatories and that complete and accurate copies of contract documentation are kept and are accessible
- Coordinate the company's response to litigation or any potential legal challenges
- Develop and manage relationships with external law firms
- Develop the company's legal knowledge management and horizon-scanning capabilities
- As the Company Secretary, carry out the instructions of the board, assisting in the implementation of corporate strategies and giving practical effect to the board's decisions, liaise with shareholders and a range of other external parties including auditors, lawyers and tax advisers and arrange shareholder/stakeholder meetings including notices, proxies, voting and reports.
