Job Description

The role of Governance Manager is a critical position that ensures the implementation and enforcement of sound governance practices across an organization. As a key member of the management team, you will work closely with stakeholders to develop and maintain effective governance frameworks.

The Governance Manager will be responsible for coordinating board and committee meeting cycles, including planning, preparing agendas, and collating reports. You will also oversee the management of post-meeting processes, such as minutes, action tracking, and document management.

In addition, the Governance Manager will maintain statutory registers and governing documents in collaboration with the legal department. You will review governance frameworks, guidelines, and policies according to compliance cycles, and manage policy compliance processes and reporting to the board and risk committees.

You will also be responsible for overseeing modern slavery processes, including reporting and committee secretarial duties. This will involve project managing annual and ad-hoc risk reporting, consolidating inputs from business units, and preparing submissions and setting agendas for risk committees across international entities.

Furthermore, the Governance Manager will lead annual insurance renewals, coordinating data requests and liaising with insurers and brokers. You will maintain insurance records and internal tools, attend renewal and claims meetings, and prepare reports for the board and risk committees.


* A minimum of 5 years of experience in governance, corporate administration, or a related field.
* Strong knowledge of board and committee processes, including governance frameworks and regulatory requirements.
* Highly organized with exceptional time management and prioritization skills, able to meet deadlines and deliver under pressure.
* Excellent communication skills, with the ability to influence stakeholders and build relationships at all levels.
* Proficiency in Microsoft Office and SharePoint, with experience in using governance tools and software.
* A tertiary qualification in a related field, such as law or accounting, would be advantageous.
