Ngadju Native Title Aboriginal Corporation RNTBC (NNTAC) is the Prescribed Body Corporate that holds the native title rights and interests on trust for the Ngadju People. The Ngadju Peoples’ native title rights and interests were recognised by the Federal Court of Australia in 2014 and 2017 (Ngadju Determinations).

NNTAC is currently seeking an Independent Director to be a member of the NNTAC Board of Directors and oversee the Corporation on Member’s behalf, ensuring informed decisions are made about the affairs of the Corporation whilst ensuring that the corporation upholds accepted standards of governance across all its commitments and functions.

The term of appointment will be two (2) years and meetings will predominantly be convened at the NNTAC Office in Perth, Norseman and via Teams. This is a paid role with remuneration set at $1200 per day (pro rata), including superannuation.

Responsibilities:

- Oversee and guide the Corporation on behalf of its Members, ensuring decisions are well-informed and supervising its operations;
- Exercise all functions and powers of the Corporation, except where otherwise specified by the Corporations (Aboriginal and Torres Strait Islander) Act 2006 or Rule Book, always acting with due diligence, honesty, and transparency;
- Safeguard the financial stability of the Corporation, ensuring its solvency and not compromising its fiscal responsibility;
- Be an active participant in the board, which comprises 5-8 Directors;
- Uphold the director eligibility criteria, including maintaining good standing and a clean record;
- Be responsible for the overall strategic direction of the Corporation;
- Ensure compliance with any other policies, procedures, and standards that the Corporation may establish or modify at its sole discretion; and
- Attend meetings (minimum once every three (3) months) whilst ensuring availability via email and Teams to have input in out of session issues.

Selection Criteria:

Degree and/or Post Graduate qualifications in a law, accounting, economics, community development, social policy or other relevant field, and/or a recognised qualification or work experience in lieu of experience, including not-for-profit sector management.

- Relevant qualifications in Company Directorship e.g. Graduate of Australian Institute of Company Directors.
- Has a Police Certificate prior to appointment that does not record a criminal offence within the last 10 years.
- Minimum 3 years’ experience as a Director of an Australian company, governed by the Corporations Act 2001 or the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (Cth)
- Have experience with legal compliance and governance including legal, ethical and fiduciary responsibilities;
- Can demonstrate robust financial acumen; an ability to read and comprehend the Corporations accounts and financial material; and
- Strategic thinking, demonstrated ability to review strategy and contribute to effective decision making – flexibility and open to other ideas

Leadership Requirements:

- Can demonstrate transparency and high integrity leadership or management experience;
- Can demonstrate a preparedness to question, challenge and critique, and a willingness to understand and to commit to the highest standards of governance; and
- Is of high repute and recognised integrity, acts ethically with appropriate independence, putting the organisations interests before personal interests.
