Company Secretariat Administrator – Full‐time – Sydney.
Southern Cross Austereo and SGH Limited, two of Australia's most established and recognisable organisations, are seeking an experienced and highly organised Executive Assistant to support the Company Secretary and Legal team. This role sits at the centre of executive operations and corporate governance, supporting key statutory, regulatory and Board activities across the group.
About the Role: We are seeking an experienced and highly organised Company Secretariat Administrator to work alongside the Company Secretary across two of Australia's most established and recognisable organisations. This role sits at the centre of corporate governance, supporting key statutory, regulatory and Board activities across SGH Limited—a diversified ASX‐listed group with significant interests across industrial services, energy and media, including market‐leading businesses such as WesTrac, Boral and Coates—and Southern Cross Austereo (SCA), one of Australia's leading media companies. This is an exciting opportunity for someone with company secretarial or legal exposure who enjoys working in a trusted, high‐accountability environment and takes pride in providing calm, reliable support at a senior level. As Company Secretariat Administrator, you'll work in close partnership with the Company Secretary, providing governance and administrative support across Board and committee processes, while also collaborating with the broader Legal team as needed.
Responsibilities
* Partner closely with the Company Secretary to manage priorities, workflows, diary management and travel arrangements, ensuring day‐to‐day operations run seamlessly.
* Support Board and Committee processes, including the preparation and circulation of Board papers via Diligent, ensuring accuracy and timeliness.
* Maintain company registers, corporate records and director share interest registers in line with statutory requirements.
* Prepare and lodge ASIC filings, manage company renewals and support ongoing compliance obligations.
* Assist with corporate structure administration, periodic reporting requirements and dividend processes.
* Support AGM preparation and annual report activities in collaboration with internal and external stakeholders.
* Assist with regulatory matters involving ASX, ASIC and other relevant bodies.
* Manage invoices and reconciliations for the Company Secretariat and Legal teams.
* Act as a trusted point of contact for senior executives, Board members and external parties, exercising discretion and professionalism at all times.
* Provide practical, hands‐on support as required, from coordinating meetings, logistics and travel to assisting with day‐to‐day requests, including coffees and ad‐hoc tasks, to ensure the executive function operates smoothly.
Qualifications
* Proven experience supporting senior executives at Board level.
* Extensive company secretarial experience within an ASX‐listed environment.
* Proficiency using Diligent Board Papers and familiarity with governance systems.
* Experience with ASIC and ASX lodgements and company secretarial software.
* Strong organisational and time‐management skills, with the ability to manage competing priorities and deadlines.
* Exceptional attention to detail and a high level of discretion and confidentiality.
* Confident stakeholder management skills, with the ability to work effectively with senior leaders.
* Strong written and verbal communication skills.
* Advanced capability with Microsoft Office, including Excel.
* A proactive, adaptable mindset and the ability to work both autonomously and collaboratively.
