About the roles
Our Commonwealth Government client based in Sydney, NSW is seeking to engage a Legal Counsel (Associate level) and Senior Legal Counsel (Senior Associate level) with experience in banking and finance law, statutory interpretation, and corporate and commercial transactions. The successful candidates will support the execution of complex funding arrangements under key national housing programs.
We offer an initial 6‑month labour hire contract.
Eligibility: Only Australian citizens with a current legal practising certificate can be considered for these roles.
Duties
* Advise on transaction structures, legal issues, and compliance with relevant legislation and mandates.
* Prepare, negotiate, and finalise transaction documents, including offer letters and legal conditions precedent; manage closing and ensure appropriate approvals.
* Provide ongoing legal advice, documentation support, and conduct legal research across funding programs.
* Liaise with and oversee external counsel; build and maintain stakeholder relationships.
* Draft, review, and maintain precedent and public‑facing documentation in collaboration with internal teams.
* Present legal insights, contribute to knowledge sharing, and support eligibility assessments and transaction execution.
* Assess and advise on consent, waiver, and amendment requests.
Senior Legal Counsel additional responsibilities
* Lead legal negotiations and manage complex transactions, including preparing, negotiating, and finalising term sheets and loan / project documentation.
* Supervise and mentor junior lawyers.
* Advise on transaction readiness for approvals, escalating issues to external counsel as required, and ensuring proper execution of documentation in collaboration with internal teams.
Required skills / experience
* Demonstrated experience in a financial institution, corporate, or top / mid‑tier law firm (minimum 3–4 years PQE for Legal Counsel; 7+ years PQE for Senior Legal Counsel).
* Exposure to banking and finance matters, including corporate, construction, project, asset, or property finance.
* Strong drafting skills with attention to detail.
* Solid legal analysis skills, including statutory interpretation.
* Sound judgment, commercial focus, and lateral thinking.
* Strong communication and interpersonal skills; ability to work constructively in a team.
* Ability to manage competing priorities and work independently.
Additional Senior Legal Counsel requirements
* Experience advising on complex funding transactions, including PPPs and project finance.
* Proven experience negotiating transaction documentation.
* Capability to supervise and mentor other lawyers.
