**Job Description:**
* We are seeking a seasoned legal professional to join our team as General Legal Counsel & Company Secretary.
This dual-role position reporting in to the CEO, is pivotal in guiding our strategic direction, ensuring legal and regulatory compliance, and fostering best-practice governance across the organisation.
As the principal legal advisor, you will work closely with the CEO and CTO to support corporate structuring, M&A, and strategic initiatives.
You will also provide direct governance advice to the Chairman and oversee all company secretarial functions.
**Responsibilities Include:**
* Advise on corporate structuring, M&A, governance, and compliance.
* Draft, review, and negotiate shareholder agreements, board resolutions, capital raising documents, and internal policies.
* Ensure compliance with relevant legislation and regulatory frameworks.
* Act as Privacy Officer and manage personal information requests.
* Lead negotiation and drafting of commercial contracts, supplier agreements, and procurement arrangements.
* Provide legal input on major projects, tenders, joint ventures, and partnerships.
* Oversee IP strategy, including protection and commercialisation of patents, trademarks, and confidential information.
* Liaise with external legal counsel as needed.
* Foster a culture of compliance, accountability, and innovation.
* Support the CEO on legal matters and risk management beyond secretarial scope.
**Governance & Company Secretarial:**
* Coordinate Board and Committee meetings, including agenda preparation, minute-taking, and action tracking.
* Advise the Board and Chairman on governance practices and directors' duties.
* Manage ASIC filings, company registers, and annual general meetings.
* Maintain up-to-date knowledge of corporate law and secretarial standards.

**Requirements:**
* Bachelor of Laws and current Australian practising certificate.
* Minimum 5 years' post-admission experience in corporate law, ideally within aerospace, defence, or advanced technology sectors.
* Strong background in commercial and intellectual property law.
* Proven experience in company secretarial duties and corporate governance.
* Exceptional communication and stakeholder management skills.
* Strong negotiation skills with ability to translate complex legal concepts into practical advice.
* Ability to manage competing priorities in a fast-paced environment.
* Experience with international export controls and employment law is highly desirable.
