West Recruitment is partnering with an Australian infrastructure organisation who operates in a fast-moving and evolving industry and continues to grow and achieve impressive results. The Opportunity

We are currently seeking an Assistant Company Secretary to provide governance support for the effective operation of the group's Boards and Committees. The role will provide high-quality administrative and governance to the in-house lawyers and company secretary, around statutory reporting and corporate governance obligations.

Key focuses include:

1. Facilitating the end-to-end Board and Committee meeting processes, including the coordination of agendas and meetings, oversee papers and proposed resolutions, drafting papers, collating and circulating papers, preparing running sheets and associated notes, minute taking, management of actions, and compliance with governing documents.
2. Maintaining the Board and Committee calendars and planners to ensure key tasks are actioned on time.
3. Proactively communicate calendar and reporting requirements with key stakeholders to support orderly preparation and smooth inputs to the process.
4. Maintain the Registers and support the preparation and lodgment of relevant corporate documents with Australian Securities and Investments Commission (ASIC) and other relevant parties.
5. Maintain Board and Committee records including papers, minutes, actions and other documents.
6. Maintain Company Secretariat processes, including developing updated precedents and templates.
7. Maintaining the Board portal (Diligent) and the publication of papers and other documents.
8. Facilitate the annual Board and Committee performance assessment, including review of Board and Committee Charters.
9. Co-ordinate Board and Committee meetings and off-site visits.

The Successful Candidate

Will have proven company secretarial experience, strong interpersonal and communication skills along with the ability to build relationships with C Suite.
