**Your new role**
Key duties of this role
- Act as Company Secretary for the Group, including:
- Maintaining statutory records
- Preparing for and attending meetings
- Preparing meeting minutes and managing action registers
- Maintaining annual Board meeting schedules
- Managing shareholder communications
- Ensuring compliance with all legal and regulatory requirements
- Maintain and review board policies and charters for committees
- From time to time you may also be required to:
- Provide support to the business, advise on, and assist with a broad range of commercial, safety, risk, corporate governance, and insurance matters.
- Provide support and guidance to the management team on managing new opportunities and their associated risks.
- Keep informed of pending industry and regulatory changes, trends and best practices and assess the potential impacts of these on organisational processes.
- Pro-actively identify obligations arising from relevant requirements and standards contained within regulatory systems and internal policies applicable to Australia/NZ business operations
**What you'll need to succeed**
- 8 years + post admission experience including as an in-house lawyer
- Current Australian Legal practising certificate
- Company secretarial experience (essential)
- In depth knowledge of legal, regulatory and risk frameworks
- A keen sense for commercial outcomes and delivering quality legal advice
- Confidence to run matters and make decisions to achieve pragmatic solutions
- Excellent interpersonal and communication skills
