About the Role
We are seeking an experienced Corporate Secretary to join our Fund Administration business in astandalone capacity.
This is a unique opportunity to take ownership of a diverse client portfolio, working directly with senior management and clients to deliver exceptional corporate secretarial services for complex alternative investment fund structures.
As the sole Corporate Secretary in this office, you will be the go-to expert for all corporate and legal matters, building and maintaining strong relationships with clients while managing the full spectrum of corporate secretarial services.
This role offers significant autonomy and the opportunity to shape service delivery for a growing book of business.
Key Responsibilities
Leadership & Team Development
Build and developa high-performing corporate secretarial team to support business growth
Proven experience inrecruiting, training, and mentoringjunior staff members
Foster a collaborative team culture focused on exceptional client service and continuous improvement
Demonstrate leadership in establishing best practices and standardizing processes across the function
Act as the primary escalation point for complex corporate secretarial matters
Client Relationship Management
Establish and maintainstrong professional relationshipswith clients, demonstrating exceptional communication and stakeholder management skills
Take full ownership of client relationships and service delivery for your portfolio
Drive coordination of new client integrations and existing client launches
Communicate clearly and effectivelywith clients, translating complex legal and regulatory requirements into practical advice
Negotiate service level agreements (SLAs) and manage client expectations proactively
Act as director, manager, or other officer of client entities and attend board meetings as required
Act as Subject Matter Expert for local corporate and legal issues, monitoring legal and regulatory changes
Identify opportunities to expand relationships by understanding client needs and business objectives
Maintain and advise clients on proper maintenance of statutory books and records in compliance with applicable laws and regulatory requirements
Service Delivery & Operations
Perform a comprehensive range of corporate secretarial services for client entities across multiple jurisdictions (including Australia, Singapore, Cayman Islands, and British Virgin Islands)
Manage company incorporations, annual filings, and ongoing compliance requirements
Convene and facilitate shareholder and board meetings, preparing all related documentation
Handle ad hoc corporate secretarial assignments and special projects
Monitor and manage client SLAs and operational deliverables independently
Identify and implement process improvements to minimize operational risk and improve efficiencies
Plan and manage resources in line with business demands
Review risk logs and coordinate incident resolution as necessary
Participate in and organize operational due diligence reviews and client visits
Compile periodic board reports, Key Performance Indicators, and client scorecards
About You
University degree in a relevant discipline (Law, Commerce, Business, or related field)
7+ yearsof corporate secretarial experience in the financial services industry, preferably with fund administrators, investment companies, or law firms
Demonstrated experience building and developing a teamfrom the ground up, including recruitment, training, and performance management
Exceptional communication skills- ability to communicate complex information clearly to diverse stakeholders including clients, senior management, and regulatory bodies
Strong interpersonal skills with the ability to build rapport and trust quickly
Proven ability to work independently in astandalone capacitywith minimal supervision
Experience managing multiple client portfolios and priorities in a fast-paced environment
In-depth knowledge of statutory and regulatory requirements for alternative asset management structures
Hands‑on experience with SPVs (Special Purpose Vehicles) and fund structures
Multi‑jurisdictional expertise, particularly Australian company law and offshore jurisdictions
Fluent in English (written and verbal)
Highly Regarded
Background in Private Equity and / or Real Estate fund structuresis highly desirable
Professional qualifications such as Chartered Secretary (CS) designation or equivalent
Experience with institutional investors and understanding of their governance requirements
Track record of successful client onboarding and relationship expansion
Project management certification or demonstrated project management capability
Experience negotiating commercial terms and service agreements
Knowledge of corporate services technology platforms
