About the role
As our new General Manager Governance and Company Secretary, you'll be part of the Governance, Risk and Compliance team reporting to the Chief Risk Officer. Your mission? Leading an effective and efficient governance and company secretarial function for the organisation and subsidiary companies.
In this role you will:
* Lead the development and maintenance of Trustee Policies for the organisation
* Coordinate and provide reporting to the Board and relevant Committees
* Identify emerging governance issues and provide advice on governance matters to the Board, Committees, Chief Executive Officer and Chief Risk Officer
* Coordinate the Board and Committee agendas, papers and workplan processes
* Lead the development and maintenance of governance registers
* Maintain reporting and governance disclosure collaterals
* Review or prepare the Fund's annual compliance statements
* Review matters impacting on the organisation and its subsidiaries and licences
* Conduct conflicts of interest (including gifts/hospitality) and fitness and proprietary assessments, and trading ban exemption applications for the organisation
* Ensure appropriate compliance with fund disclosure in relation to RG 252
* Assess the efficiency and effectiveness of the governance and secretariat functions to augment appropriate decision-making processes both at Board and Management level
* Lead and guide the Governance team
* Deliver training to employees and the Board
What we're looking for

* Experience working with Boards and Executive Teams in a company secretarial function
* A strong practical understanding of the legal duties and role of a Company Secretary
* Knowledge of legislation and regulations related to superannuation and/or financial services including the fiduciary, responsibilities of Trustees and the fitness and proprietary requirements of Responsible Persons under the SIS Act 1993 (Cth)
* Demonstrated ability to provide Leadership to a high performing team
* Demonstrated ability to provide sound professional judgement on complex and sensitive matters
* Demonstrated ability to coordinate and prioritise tasks and operate independently
* Excellent attention to detail
* Excellent written, interpersonal and communication skills, with the ability to liaise, negotiate and build effective working relationships with stakeholders
* The ability to handle multiple tasks at once, while ensuring tight deadlines are met.
