Overview
AmTrust is seeking an attorney to join its Corporate Law Department. The role involves drafting, reviewing, and negotiating a variety of vendor agreements including technology, licensing, software, and other commercial contracts. The attorney will also collaborate on artificial intelligence, data governance, and privacy issues across all AmTrust business segments. This position reports to the SVP, Senior Managing Counsel, in Cleveland, Ohio.
Responsibilities
* Draft, review, negotiate, and advise on technology-related vendor agreements such as software licenses, SaaS, market data licenses, API integrations, e-commerce, telecommunications, hardware, maintenance, software development, outsourcing, and cloud services.
* Handle non-technology vendor agreements, consulting, facilities, staffing, non-disclosure agreements, SOWs, and other commercial contracts across various business segments.
* Provide guidance on model agreements, contract playbooks, and clause libraries; train stakeholders on legal concepts and document usage.
* Manage contract processes with the Procurement team, including tracking, renewals, and dispute resolution.
* Assist with due diligence for M&A transactions, including transition services agreements.
* Offer legal advice on licensing, technology, and commercial matters to internal clients.
* Support contract management workflows, templates, and system improvements.
* Perform other related duties as assigned.
Qualifications
* Juris Doctor from a recognized law school.
* Minimum of three years' experience in drafting commercial contracts, either in a law firm or in-house legal department.
* Ability to work efficiently in a fast-paced environment and prioritize tasks.
* Strong business judgment and strategic thinking skills.
* Relevant certifications are a plus.
* Independent work ethic and initiative.
* Ability to collaborate cross-functionally with IT, Operations, Compliance, Procurement, and other stakeholders.
* Excellent communication skills for advising executives and teams concisely.
* Willingness to utilize legal technology tools.
* Open to occasional travel.
* Licensed to practice law in at least one U.S. state and in good standing.
* Familiarity with insurance regulations, financial services, and intellectual property is advantageous.
