The PKKP People are seeking applications for Independent Director for the Decision-Making Committee (DMC) for the PKKP Charitable and Direct Benefits Trust.

The Role of DMC is to:
* Review the Trustee's compliance and provide recommendations to the Trustee on how it fulfils its obligations under the Trust Deeds.
* Provide recommendations to the Trustee as to the fulfilment of the Trust Objects.
* Assist the Trustee to manage its relationships and liaise with the PKKP People, the PKKP Council & the PKKP Aboriginal Corporation.
* Foster mutual respect and cooperation between the PKKP People, the PKKP Council, the Trustee & the PKKP Aboriginal Corporation.
* Develop the executive capacity and community development functions of the Executive Office.
The Independent Director role will:
* Provide leadership, direction and support to the DMC and PKKPAC Funding Committee;
* Monitor and review the PKKP strategic plan and strategic objective outcomes;
* Review the management of the Trusts finances;
* Promote and uphold principles of good governance;
* Attend all board meetings, occurring bi-monthly;
* Promote effective and efficient lines of communication; and
* Undertake appropriate cross-cultural training as required.
Have experience working with Aboriginal communities and/or willing to undertake cultural awareness training as required
Have completed the AICD Company Directors Course
Commitment:
* Approximately 20 days of meetings per year. (Sitting fees and travel allowance payable)
* Be easily contactable as business arises for circular resolution
* Face to Face attendance required at all meetings (where possible)
* Attendance at 2x PKKP Peoples meeting per year (May & November)
* Most meetings occur in Karratha and Perth.
* Uphold the PKKP values and achievement of the PKKP Strategic Vision
* Maintain confidentiality and protect any PKKP Intellectual Property
ADDITIONAL INFORMATION:
Selection Criteria
A person is only eligible to be appointed as an Independent Director if they:
* have completed, or within the first year of the Independent Director's term, will complete, a director's course approved by the Australian Institute of Company Directors (AICD) or a suitable successor to the AICD;
* have as a minimum, three years' experience as a director of an Australian company governed by the Corporations Act and can demonstrate a preparedness to question, challenge and critique and a willingness to understand and to commit to the highest standards of governance;
* are financially literate;
* possess leadership experience, and shall possess qualities reflecting a proven record of accomplishment and ability to work with others;
* do not have commitments that would conflict with the commitments of a director of the company;
* are of a high repute and recognised integrity and:
* are not a person who is not permitted by the Corporations Act (or an order made under the Corporations Act) to be a director;
* have not been disqualified (either automatically or by Court order) from managing corporations
* are a Responsible Person and has such other characteristics as may be considered appropriate for membership on the board of directors;
* are Independent; and
* have been identified as being an eligible candidate for appointment as an Independent Director in any list of eligible candidates by RTIO [Trustee confirms this with RTIO after interview process] if selected you will be request by the Trustee to be added to the RTIO approved list if not already registered.
A person is preferred to be appointed as an Independent Director if they:
* have experience working with Indigenous communities; and
* have:
* as a minimum, two years' financial or business management experience; and
* experience dealing with similar trusts to a charitable trust.
* is willing to undertake cultural awareness training if required by the PKKP Council.
Remuneration and Expenses
* Conditions and term of appointment including remuneration will be discussed in detail with the appropriate candidates after the short-listing process. Please provide your remuneration expectations in your cover letter.
* Travel and accommodation expenses for attendance at Board Meetings will be reimbursed in accordance with the travel allowance policy.
