As a direct result of internal promotion, an opportunity has arisen for an Assistant Company Secretary to join the governance team of this high-performing and well respected ASX listed Investment business.
This role presents an excellent opportunity for a governance professional looking to deepen their exposure to board operations within a sophisticated investment environment. Working closely with the Company Secretary, you will play a key role in delivering high-quality corporate governance and secretariat support across the business, ensuring the smooth operation of board and committee processes and maintaining best-practice regulatory compliance.
Key responsibilities include:
* Coordinating Board and Committee meetings, including scheduling, logistics, board pack preparation and minute taking
* Supporting the administration of executive management and governance committees
* Managing the board portal and ensuring directors receive materials in a timely manner
* Preparing and lodging ASIC and ASX regulatory filings
* Assisting with continuous disclosure and statutory compliance obligations
* Maintaining statutory registers and corporate records across group entities
* Supporting AGM preparation, including notices of meeting and shareholder-related processes
* Liaising with external stakeholders including registry providers, legal advisers and governance consultants
* Contributing to the review and improvement of governance policies, board reporting and secretariat processes
About you:
You are a detail-oriented governance professional who thrives in a small team with diversity and high accountability, and enjoys working closely with senior stakeholders.
You will likely bring:
* Previous experience in a company secretariat or corporate governance support role
* Experience supporting boards and board committees, ideally within a listed or regulated organisation
* Strong knowledge of ASX Listing Rules, Corporations Act requirements and ASIC compliance
* Experience with governance platforms such as Diligent Boards, ASIC portals or ASX Online
* Strong written communication skills, including drafting board papers, minutes and governance documentation
* Excellent organisational skills with the ability to manage multiple deadlines
* The confidence to engage with senior executives and board members
* A high level of professionalism, discretion and judgement when handling sensitive information
* Progress toward or completion of the Governance Institute of Australia Graduate Diploma will be highly regarded.
