The Role
Responsibilities
As Senior Legal Counsel, you'll provide expert legal advice across a broad spectrum of corporate, commercial, regulatory and operational matters. You'll work closely with leadership and cross-functional teams to manage legal risk across the business and support strategic transactions. Your responsibilities will include:
* Advising on a wide range of legal matters including corporate governance, mining, employment, procurement, and compliance
* Supporting mergers and acquisitions, takeover activities and divestment transactions including conducting due diligence and preparing transaction documentation
* Drafting, reviewing and negotiating complex legal agreements
* Monitoring and assessing compliance with relevant legislation, ASX Listing Rules and regulatory developments
* Collaborating with internal stakeholders to promote strong governance and risk management practices
* Managing relationships with external legal advisors and other stakeholders
* Ensuring alignment with the Company's Code of Conduct, policies, and safety standards
* Assisting with company secretarial activities
About You
You are a commercially astute and strategically minded Senior Legal Counsel with the ability to influence and engage meaningfully at all levels. You are proactive and solutions-focused, with a calm and pragmatic approach. You bring:
* Strong interpersonal skills and the ability to influence across all levels of the organisation
* Ability to deliver pragmatic, commercially sound legal advice in a dynamic business environment
* Significant demonstrated experience, ideally across both private practice and in-house roles
* Tertiary qualification in Law and admitted to practice in Western Australia
* Strong working knowledge of the legal regime applicable to mining and exploration in Western Australia
* Proven experience in M&A transactions, commercial negotiations, and regulatory compliance
* Experience across corporate, commercial, employment, litigation and regulatory matters is desirable
