About the Role This is a senior Corporate Governance Company Secretary role with an expanded mandate, reflecting Mater's commitment to strengthening governance maturity, risk management and assurance across the organisation.
Reporting jointly to the Chair and Group Chief Executive, the Company Secretary is accountable for providing high-level, independent advice, and management of the Governance processes and systems to the Board and its committees, while also leading Mater's enterprise governance, risk, audit and compliance portfolio.
The role has recently been restructured and broadened following Board review, creating a rare opportunity for an experienced governance leader to reset frameworks, lift capability, introduce efficiencies and embed a contemporary, risk-aware culture across a complex healthcare organisation.
You will be a trusted advisor to the Board, proactive in planning and execution, and confident operating autonomously at executive level.
This is a hands-on leadership role for someone who embodies best practice in company secretarial practice and enterprise governance, and who can seamlessly integrate statutory compliance, board effectiveness, risk mitigation and assurance into day-to-day organisational decision-making.
Key Responsibilities The Company Secretary will: Provide independent, high-quality advice to the Chair, Board and Committees on directors' duties, statutory obligations and best-practice corporate governance Ensure compliance with the Corporations Act, relevant regulations, Mater's Constitution and other applicable legislative and canonical obligations Lead and evolve Mater's governance, risk, audit and compliance functions, including oversight of internal audit and enterprise risk management Drive uplift in risk maturity by embedding accountability, assurance and mitigation practices across portfolios Proactively plan and manage Board, Committee and subsidiary governance processes, ensuring high-quality papers, effective meetings and disciplined follow-through Lead the ongoing development of governance frameworks, policies, processes and technology to improve efficiency and effectiveness Oversee statutory reporting, registers and disclosures, including AGM and subsidiary governance requirements Partner with executives and leaders to use audit and risk as tools for continuous improvement rather than compliance alone Lead, develop and reshape a multi-disciplinary governance team, building capability, clarity and confidence Act at all times impartially and in the best interests of Mater This role works closely with the Mater Foundation and subsidiary boards and regularly interfaces with regulators, auditors and external advisors.
About You You are a highly experienced Company Secretary and governance executive who operates with confidence, discretion and sound judgement at Board level.
You are comfortable working independently, anticipate what is needed, and bring a calm, assured presence in complex and dynamic environments.
You will bring: Significant experience as a Company Secretary or in a comparable senior governance role within a large, complex organisation Deep expertise across corporate governance, board operations, statutory compliance, risk management and internal audit Proven ability to lift governance and risk maturity, introduce efficiencies and implement fit-for-purpose frameworks Strong leadership capability, with experience leading multidisciplinary teams and reshaping functions for future needs Exceptional communication and relationship-building skills, with the emotional intelligence to navigate diverse personalities and perspectives Strategic thinking combined with practical execution, understanding both the detail and the bigger picture High levels of integrity, professionalism and discretion, aligned with Mater's Mission and Values Experience in healthcare or the not-for-profit sector is advantageous but not essential.
Tertiary qualifications in law, governance or administration, and/or admission as a lawyer is welcomed but not mandatory.
