Role Overview
The team is a dominant force in the Australian M&A landscape, advising on the country's most significant and complex domestic and cross-border transactions. You'll gain exposure to a broad range of M&A deals, including public takeovers (schemes of arrangement, off-market bids), private acquisitions and disposals, joint ventures, and corporate restructurings across various sectors such as energy, infrastructure, financial services, and technology.
Responsibilities
* Draft and negotiate share sale agreements, asset sale agreements, scheme implementation agreements, and other transaction documents.
* Advise on Corporations Act, ASX Listing Rules, and foreign investment (FIRB) considerations.
* Assist with transaction structuring and execution from inception to completion.
* Liaise with clients, financial advisors, and regulatory bodies (ASIC, ASX, FIRB).
Requirements
* At least 2 years' PAE in corporate M&A at a leading Australian firm.
* Strong understanding of the Corporations Act and M&A market practice.
* Proven experience in handling both public and private M&A transactions.
* Excellent drafting, negotiation, and project management skills.
* Commercially astute, proactive, and a strong team player.
