My client is a global financial institution, and we are seeking an experienced Company Secretarial Specialist to support corporate governance functions across a complex portfolio of entities in a highly transactional environment.
Key Responsibilities:
Draft and circulate resolutions for incorporations, capitalizations, and distributions.
Maintain accurate corporate registers and statutory records.
Assist with board/committee meetings, agendas, and minutes.
Ensure compliance with regulatory requirements (ASIC, APRA, AFCA).
Support governance requirements for projects and transactions.
Drive process improvements and stakeholder education.
About You:
Tertiary qualifications in law, finance, or corporate governance.
Minimum 5 years' hands-on company secretarial experience (large organization preferred).
Strong knowledge of Corporations Act and governance frameworks.
Excellent drafting, communication, and organizational skills.
Ability to work independently in a fast-paced environment.
