A specialist investment firm operating in the alternative assets space is seeking an experienced Capital Markets Legal Manager to join its growing Sydney-based team. This is a newly created role offering broad exposure across complex structured finance transactions and multiple asset classes.
This position will suit someone who enjoys being at the centre of transaction execution, working closely with investment, legal, and operations teams to ensure deals are delivered efficiently and accurately.
The Role
Sitting within a capital markets product function, this role is focused on end-to-end execution of investment transactions - from initial structuring through to completion. You will act as the legal execution lead on deals, ensuring documentation, negotiation, and settlement processes run smoothly.
You'll collaborate closely with portfolio managers, structurers, internal legal stakeholders, and external advisers, playing a key role in managing execution risk and transaction outcomes.
Key Responsibilities
* Prepare, review, and coordinate transaction documentation including NDAs, term sheets (investor and borrower), trust deeds, legal opinions, and due diligence sign-offs
* Act as the execution specialist within deal teams, supporting negotiation and closing of transactions
* Execute transactions across a range of alternative asset classes such as:
* Real estate and property-backed lending
* Private credit and corporate loans
* Asset-backed and structured finance
* Other bespoke investment structures
* Liaise with middle office and operations teams to ensure accurate and timely processing of capital markets transactions
* Work closely with external legal advisers and internal stakeholders to manage execution risk and control transaction costs
* Ensure documentation reflects commercial intent and the requirements of all relevant parties
About You
* Qualified lawyer with experience across capital markets execution or structured finance deals within a financial services or law firm.
* Approximately 4+ years' experience (flexible depending on capability and exposure)
* Strong understanding of:
* Corporate lending structures
* Property-backed finance
* Asset-backed securitisation or structured products
* Highly organised with excellent attention to detail
* Comfortable managing deadlines in a fast-paced, deal-driven environment
* Technically capable, with solid proficiency in Microsoft Office
* Collaborative, pragmatic, and accountable in your approach
