Job Responsibilities
As a company secretary, you will be responsible for:
* Coordinating Board and committee meetings by preparing agendas, compiling and reviewing Board papers, and distributing materials on time.
* Attending meetings and preparing accurate draft minutes.
* Managing statutory registers, annual solvency resolutions, and regulatory filings with ASIC, ASX, and other authorities.
* Maintaining entity records and lodgements in Diligent Entities, ensuring compliance and accuracy.
* Assisting with the preparation of annual reports, corporate governance statements, and directors' declarations.
* Contributing to the establishment of new companies and trusts, ensuring statutory registers and governance processes are maintained to a high standard.
Required Skills and Qualifications
To be successful in this role, you will need:
* Minimum 3 years' company secretarial experience, ideally with exposure to listed or unlisted investment structures.
* Progress towards or completion of Governance Institute of Australia qualifications.
* Strong experience in drafting Board minutes and supporting governance frameworks.
* Proficiency with Diligent Board Paper applications and entity management systems.
* Highly organized, detail-focused, and confident working both autonomously and within a collaborative team.
