A leading diversified property group is seeking an experienced and detail-driven Governance Manager to join its high-performing in-house legal and corporate secretariat team. This key role is responsible for delivering best-practice governance and company secretarial services across a complex portfolio of subsidiaries, joint ventures, and trusts.
About the Role
Reporting directly to the General Counsel, you will be instrumental in ensuring corporate compliance and governance obligations are met across all wholly and partly owned subsidiary entities. You will also play a pivotal role in supporting executive and finance committee operations and managing board technology platforms.

Responsibilities:
* Manage company secretarial responsibilities for all wholly owned subsidiaries, managed entities, joint ventures and funds, including preparation of papers, reviews, and regulatory filings, ensuring accurate corporate record-keeping.
* Prepare director and officer indemnity deeds and written resolutions, including appointments and resignations.
* Prepare and manage circular resolutions and coordinate execution and filing processes.
* Lead initiatives to uplift governance and risk maturity across the subsidiary group.
* Enhance governance frameworks, policies, and compliance practices in line with regulatory requirements and internal standards.
* Liaise with Legal, Finance, Treasury and Sustainability teams to embed best practice governance.
* Monitor changes to legal and regulatory obligations and communicate relevant updates to senior stakeholders.
* Manage one direct report and support the performance and cohesion of the broader legal and secretariat function.
* Act as a key contact for select external relationships, including governance bodies and professional advisors.
* Advise directors and executives on corporate governance obligations and contribute to the development of fit-for-purpose policy frameworks.
Requirements:
* 8+ years’ experience as a Company Secretary or Assistant Company Secretary.
* A relevant degree in Law, Economics or Accounting, with a Governance Institute qualification.
* Experience with Board documentation, corporate registers, and regulatory reporting.
* Deep understanding of governance principles, Board/committee operations, and compliance.
* Proven ability to manage complex corporate structures and work across multiple stakeholders at senior levels.
* Exceptional communication, attention to detail, and a proactive mindset.
