As the Group Assistant Company Secretary, you will play a central role in delivering smooth, compliant and high-quality governance and company secretariat support across the nib Group. Working closely with the General Counsel & Company Secretary, you'll help drive Board and committee effectiveness, including through timely information flows and rigorous governance processes.
You will also lead key governance processes that support the Board and the executive team, including preparing agendas and minutes, maintaining statutory registers, supporting corporate filings and enabling strong decision‐making across our subsidiaries and committees.
About you
The ideal candidate will hold recognised corporate governance qualifications, such as those from the Governance Institute of Australia, with legal tertiary qualifications highly valued.
You will have proven experience in a company secretariat function within a large organisation, ideally an ASX‐listed company, ideally with exposure to regulated industries such as financial services or healthcare.
You bring strong knowledge of corporate governance frameworks, including the ASX Corporate Governance Principles & Recommendations, statutory reporting requirements, Board charters, and delegation frameworks. The candidate will also have demonstrated capability in advising Boards and senior executives on governance and regulatory matters.
Other things we're looking for in a candidate include:
* Exposure to managing group structures, subsidiary governance, entity lifecycle management and governance frameworks, ideally in a business with international operations
* Skilled in the preparation, review and quality assurance of Board and Committee papers, minutes, management actions, governance statements and corporate disclosures
* Excellent written and verbal communication skills, able to build and maintain trusted relationships with directors, senior executives and support staff
* Ability to balance strategic thinking with detailed execution and operational oversight
* Experience contributing to corporate policy development or review
* Proficiency with board management software (e.g. Diligent Boards, or similar)
* Experience liaising with regulators, legal advisors, or external auditors
* Familiarity with listed company obligations (ASX) or regulated industries (preferred)
