ROLE PURPOSE
Wirrawandi Aboriginal Corporation (WAC) seeks an Independent Director with deep expertise in governance, risk, compliance, and strategic oversight. This role is critical in ensuring WAC meets its objectives under the WAC Rule Book and complies with the Corporations (Aboriginal and Torres Strait Islander) Act **** (CATSI Act).
The Independent Director will provide impartial, high-level advice on governance frameworks, risk management, legal compliance, and policy development. You will strengthen board capability, support strategic decision-making, and uphold best practice standards while championing the rights and aspirations of Traditional Owners.
KEY RESPONSIBILITIES
Provide authoritative advice on governance, legal compliance, risk management, and policy frameworks.
Guide the Board in meeting statutory obligations and managing governance risks effectively.
Contribute to strategic planning and oversight of corporate governance systems.
Lead initiatives for policy development, compliance training, and board performance evaluation.
Promote best practice in governance, risk oversight, and stakeholder engagement.
Share expertise and mentor directors to build governance capability.
Demonstrate commitment through regular attendance, thorough preparation, and professional contribution.
ESSENTIAL CRITERIA
Formal qualifications in Law, Business, Commerce, or equivalent.
Significant experience in governance, risk management, and compliance, preferably within native title or corporate governance contexts.
Proven experience working with Aboriginal and Torres Strait Islander communities and understanding cultural protocols.
Minimum 3–5 years of board or governance experience.
Strong understanding of the regulatory environment for Registered Native Title Bodies Corporate (RNTBCs).
Proven ability to interpret complex legal and governance frameworks.
Excellent communication, collaboration, and stakeholder engagement skills.
Commitment to Aboriginal self-determination and cultural respect.
High-level analytical, strategic, and decision-making capability.
Australian citizenship is required for this position.
