General Counsel & Company Secretarial
* Provide Legal, Governance, and Compliance Advice
* Handle a broad range of matters in relation to Corporate Law, Contract, Consumer, WHS, Intellectual Property, Employment Law, etc
* Handle Company Secretarial matters under an ESTABLISHED Framework
* Collaborate with the CEO and Board to navigate legal complexities whilst supporting the strategic direction of the Company
* MANAGE an Assistant
Core Responsibilities
* Manage contract drafting, negotiation, and commercial litigation processes
* Ensure due diligence on a range of legal compliance and governance matters
* Act as primary Legal Advisor to the CEO and Board on Compliance and Governance matters
Compliance Risk Oversight
* Lead compliance aspects to ensure legal and regulatory adherence in Operations
* Proactively identify and manage legal risks
* Prepare reports on compliance policies and practices.
Governance
* Develop a Compliance Schedule for legislative and regulatory compliance
* Ensure compliance with statutory requirements, including filing annual returns
* Coordinate with external legal counsel and regulatory bodies
Board Support
* Organise and prepare board meetings, including agenda and documentation
* Develop a Board Skills Matrix for succession planning and mentoring programs
* Align the Board agenda with strategic plans and review reporting templates
Relationship Management
* Build strong credibility and trust across the Executive Leadership Team
* Collaborate with various Internal & External stakeholders, including the CEO, Board, and Regulatory Bodies
* Attend Board and Executive meetings to maintain relationships
Key Selection Criteria
* Previous significant General Counsel experience, with broad-spectrum Generalist Commercial exposure
* In-depth knowledge of corporate governance and board operations
* Strong communication, analytical, and organisational skills
Qualifications
* "MUST BE" a Qualified Lawyer with a current NSW PRACTISING CERTIFICATE
* "Preferably "have undertaken Professional training with a recognised Company Secretarial body, OR demonstrate significant hands-on experience
Experience
* Possible prior experience, or personal affinity, with the not-for-profit sector, as well as General Commercial sectors
* Ability to interpret relevant legislated NSW Government Acts
* Previous work with government bodies and an understanding of a REGULATED ENVIRONMENT will be advantageous
Your remuneration will include SALARY $$$ v.neg + ON-SITE Parking + Superannuation, as well as ongoing traininganddevelopment. Paidfurther Study Options and Study Leave (MBA / AIDC / AGIA) will be available
