**Overview**

Established in 2006, Company Matters is the largest team of governance professionals in Australia. When clients engage us, they will receive the benefit from approximately 350 years' cumulative experience across our 20 practitioners.

This is Board Coordinator and Practice Assistant position for an aspiring governance practitioner.

The main purpose of this role is to provide all-round support to the Company Matters team across a diverse range of operational tasks undertaken by a busy governance advisory, legal and company secretarial practice, including but not limited to, board coordination duties (including board paper collation), general administration assistance, office management and company secretarial support.

Your success will stem from prior experience working within a Company Secretarial team, with Boards and senior executives of ASX listed companies, your ability to partner with our clients and work closely with the team and other advisers and regulators in a collaborative way that results in the best outcomes for our clients.

**Key Accountabilities and main responsibilities**

Company secretarial Administration and Board Coordination
- Compilation of board papers and other board meeting preparations on behalf of practitioners.
- Assisting with company secretarial reports, drafting minutes, researching new regulations, drafting announcements and documents for regulators, undertaking register searches.
- Maintenance of various client's statutory registers and provision of local agent services.
- Incorporation of entities in accordance with the Corporations Act.
- Registration of foreign entities in accordance with the Corporations Act.
- Management of the foreign entities registration database and ensuring compliance for clients with foreign entities.
- Completion and lodgement of forms and announcements with regulators such as ASIC, ASX, ATO, OSR, DFT.
- Prepare initial drafts of advices, charters, notices, constitutions.

Practice Assistant
- Assisting with the invoicing process, accrual summaries, forecasting, disbursement payments as appropriate.
- Assisting with time recording and debtors and liaise with the Link Group Accounts Department

**Experience & Personal Attributes**
- Experience with electronic record keeping and electronic Board Paper portals (e.g. Diligent Boardbooks)
- Tertiary education
- Experience in an ASX listed company secretarial or legal/finance role
- Ability to prioritise, work well under pressure and exercise independent judgment
- Meticulous attention to detail
- Prior experience working in a consulting environment or in a regulated environment; e.g. in an organisation regulated by the ASX or Australian Prudential Regulation Authority
- Demonstrate commitment to delivering results through drive, collaboration and effective teamwork
- Ability to work both independently and within a team
- Ability to interact with a number of stakeholders, including Directors and senior management
