The Opportunity We are looking for a dynamic full-time fixed term (6 - 9 month), Senior Legal Counsel to join our Sydney or Melbourne based team, working closely with management to ensure that our operations align with applicable laws and regulations, supporting our project teams on all stages of transactions and taking responsibility for Pollination’s general corporate legal advice and legal strategy. The role will report to the Chief Operating Officer. What you'll be doing Drafting, reviewing, and negotiating a wide range of commercial contracts, including NDAs, consultancy and service agreements, MOUs, joint venture agreements, term sheets, and partnership arrangements. Supporting management on group and asset level capital raisings including data governance for due diligence and data room information. Advising on legal issues arising across the business, including in relation to project development, new ventures, advisory engagements, and operational matters. Driving the governance and corporate maintenance and simplification (where appropriate) of group entities, including board processes, director and shareholder matters and resolutions, and company secretariat requirements such as corporate registrations and filings. Providing legal support on employment law, IP, disputes, privacy, marketing, real property, and regulatory compliance matters, with support from external counsel where appropriate. Managing legal templates and internal precedents and contributing to legal process improvements and risk management initiatives. Coordinating and instruct external legal counsel as required. Supporting the compliance team on policies and compliance frameworks that contribute to legal risk management. Provide legal support on project finance and carbon offtake transactions, including drafting, reviewing, and negotiating finance and offtake documents and coordinating with external counsel as required. Advise on corporate governance and compliance matters for special purpose vehicles and project entities, including board processes, shareholder arrangements, and statutory obligations. Lead negotiation and preparation of key project development agreements, including land access, specialist advisers, partnership and shareholder agreements, ensuring alignment with commercial objectives and risk management frameworks Collaborating across functions (e.g. finance, operations, compliance, people & culture) to ensure legal issues are well understood and addressed proactively. What do you need to apply? 10-15 years’ post-qualification experience (law firm or in-house); title will be commensurate with experience. Previous in-house corporate law experience. M&A or capital markets transactional experience. Broad general commercial and corporate legal experience; prior experience in advisory, consulting, climate, or environmental sectors is valued but not essential. A valid Australian practising certificate. Having a practising certificate outside of Australia in addition to Australia will be favourably considered, along with having worked in another jurisdiction in which Pollination operates. Demonstrated ability to operate autonomously, manage competing priorities, and apply sound commercial judgment. Excellent transaction execution skills and client delivery focus. Experience working in a fast growth company, where priorities change quickly. Experience of working closely with compliance functions on both operational and regulatory issues. Experience working closely with company management. Experience advising company directors will be viewed favourably. Be highly proficient in the use of MS Word, Excel and PowerPoint and ability to use project management and transaction execution tools. Excellent relationship building skills alongside a questioning and inquisitive attitude and excellent written and communication skills. Willing to roll up sleeves, multi task to deliver whatever is required to get things done, in addition to a high client service ethic. Ability to work autonomously with multiple, competing deadlines with little supervision on occasion. Whilst maintaining good work-life harmony is important to us, we will require a certain amount of flexibility to work outside of office hours when necessary, to accommodate the demands of a global business spanning multiple time zones.
