The Role
This role reports directly into the CEO and will work across multiple Hubs, such as California; China and our Head Office in Melbourne. The role is a sole legal counsel position and requires strong risk assessment capability to evaluate the likelihood, frequency and potential impact of legal issues, ensuring the organisation's interests are effectively protected.
Working closely with the CEO, Board, Executive Leadership Team and cross-functional teams, the position advises on compliance and a broad range of legal matters, while drafting and negotiating commercial agreements. The position prioritises maximising Bubs' Australia's legal rights, minimising risk, and enabling effective and compliant business operations.
Key Responsibilities
* Advising Management on deal structures, sales and supply contractual negotiations, including associated legal risks and liabilities, and early exit/dispute matters.
* Drafting, reviewing and executing commercial legal agreements/contracts with distributors, suppliers, sales customers, marketing agencies and other business partners.
* Advising on company's obligations to meet national minimum wage orders, fair work and work safety practices.
* Reviewing packaging claims and marketing materials to ensure they are legally compliant for specific countries, in conjunction with relevant industry experts.
* Management of Australian and international IP and Trade Mark portfolio, and coordinating response to any external allegations of TM breaches, working in conjunction with Bubs' appointed legal IP firm.
* Reviewing ASX announcements, corporate governance documentation and disclaimers to ensure disclosure/compliance obligations are met.
* Advising Board on ASX listing rules, compliance and disclosure obligations, working in conjunction with the Company Secretary.
* Facilitate the internal business processes and key reporting requirements in relation to the executive and board ensuring governance to company policies and regulatory requirements.
Skills and Experience
* High level of business acumen, commercially savvy, strong communication skills, attention to detail and ability to work independently across a broad range of projects.
* Tertiary qualification in law with minimum 10yrs work experience, ideally across both major private practice firms and corporate in-house counsel.
* Experience as a legal advisor to ASX listed companies and sound knowledge of corporate governance and compliance.
* Background in Retail/Consumer Goods industry or FoodAg/Dairy sector would be an advantage.
* Experience in export/trade to Asia (esp. China) and USA would also be valuable.
* Risk Management: Strong understanding of enterprise risk management, corporate governance frameworks and regulatory compliance
* Crisis Leadership: Proven ability to support organisations through crisis situations and reputational challenges
