Assistant Company Secretary/Governance Specialist

Hawksworth have partnered with a major Financial to on-board an Assistant Company Secretary/Governance Specialist. This is a 12 month contract based in Sydney.
This role will report to the Head of Secretariat and Group Company Secretary of the Company.
You will have 3 or 4 years of previous work experience in the Company Secretariat department of an Australian corporate or post-admission experience advising on corporate governance and company secretarial matters.
Superior knowledge and understanding of Corporations Act and Regulations, ASX Corporate Governance Principles and other relevant laws relating to corporate governance and /or the Superannuation Industry (Supervision) Act.
Your Qualifications and Skills
Essential:
- Relevant tertiary qualification (e.g Bachelor of Laws, Bachelor of Commerce)
Preferred:
- Admitted as a legal practitioner
- Graduate Diploma in Applied Corporate Governance
- Associate or Fellow of Governance Institute of Australia
**Responsibilities**:
The provision of corporate governance and company secretarial (as relevant) support including:
- Attending to filings of documents for all Group entities with regulators to comply with statutory and regulatory obligations
- Preparing corporate governance-related board papers and resolutions for Group entities and completing ancillary actions following board approvals
- Acting as the minute taker at nominated subsidiary meetings on an ad-hoc basis, at the request of the Company Secretaries
- Preparing and reviewing corporate governance-related documentation for the company entities (as relevant)
