As CEO of Prophecy International (ASX: PRO), you will lead a high-stakes transformation — resetting the company's trajectory and building a scalable growth engine in cybersecurity and data analytics. This role requires Australian citizenship due to the nature of our government and defence sector clientele.

Role Purpose

Prophecy is at a pivotal inflection point. Your mandate is bold: transform the business, stabilise and reignite growth, and deliver disciplined profitability — while positioning Prophecy as a global leader in cybersecurity and analytics.

This is more than operational excellence; it’s about shaping the future. Through decisive leadership, strategic execution, and transparent investor engagement, you will redefine Prophecy’s market profile, from legacy service multiples to a high‑growth SaaS valuation — creating lasting value for stakeholders. Equally, you will inspire and empower people — building a high‑performance, values‑driven culture that attracts exceptional talent, fosters collaboration, and enables teams to do their best work while winning together.


Key Responsibilities


Turnaround Strategy & Growth

* Develop, translate, and execute a comprehensive transformation and strategic plan that aligns with the Board’s vision, restores growth and profitability, and positions the company for sustainable market leadership.
* Reposition the company in global markets with a refreshed go‑to‑market strategy, driving disciplined execution and measurable outcomes.
* Enable strategic rerating: shift the business model and unit economics toward SaaS multiples (pricing, ARR mix, retention/NRR), underpinned by a public milestone‑based “Say/Do” cadence that the market can track.


Financial Leadership and Value Creation

* Drive Sustainable Growth: Deliver revenue expansion, optimized cost structures, improved cash flow, and consistent EBITDA growth.
* Maximize Shareholder Value: Accelerate ARR growth through disciplined financial management, pricing strategy, and commercial excellence.
* Enhance Financial Quality: Lift key performance metrics — such as cash conversion and margin expansion — to strengthen market confidence and attract institutional investors.
* Ensure Governance & Transparency: Uphold rigorous financial controls, compliance, and risk management while providing clear, strategic reporting to the Board and stakeholders.


Strategic Partnerships and Commercial Growth

* Define and Execute Partnership Strategy: Set the vision for global sales channels and partner ecosystems, ensuring alignment with business objectives and driving market penetration through system integrators, MSSPs, distributors, and OEM alliances.
* Forge High‑Impact Alliances: Establish and nurture strategic partnerships and OEM agreements that expand product reach, unlock new revenue streams, and strengthen competitive positioning.
* Lead Complex Commercial Negotiations: Structure partnership models that balance immediate revenue goals with long‑term strategic growth.
* Accelerate Market Adoption: Drive and oversee proof‑of‑concept (POC) initiatives with partners and enterprise customers to validate solutions and fast‑track adoption.
* Shape Future Growth: Assess and support M&A opportunities, including strategic fit analysis, valuation, and integration planning to deliver scale, capability, and shareholder value.
* Ensure Governance and Alignment: Implement governance frameworks for partnerships to maintain strategic alignment and maximize long‑term value creation.


Leadership Alignment and Organisational Stewardship

Transformation starts with leadership. To deliver scale, speed, and sustainable performance, Prophecy’s organisational model and culture must be engineered for the future — and led from the front.

* Architect the Future: Partner with the CHRO and Executive Team to design and implement a future‑ready organisational model that enables transformation, scalability, and sustained operational excellence.
* Drive Enterprise Accountability: Redefine roles, decision rights, and governance across global teams — bringing clarity, speed, and ownership to execution at every level.
* Build Leadership Depth: Shape and align a high‑performing leadership cohort through rigorous succession planning and capability development, strengthening leadership bench strength and long‑term resilience.
* Champion Cultural Renewal: Lead and embed behaviours that foster agility, collaboration, commercial discipline, and a performance‑driven mindset — setting the tone for a culture that thrives under transformation.


Operational Excellence

* Unify and Mobilise: Align global teams behind a single vision, embedding execution excellence and scalable operating models that enable transformation without compromising agility or innovation.
* Embed Governance with Pace: Implement disciplined risk and compliance frameworks aligned to ASX and global regulatory standards — ensuring integrity and resilience while maintaining speed to market.
* Establish a Growth‑Ready Cadence: Standardise KPIs, forecasting, and operating reviews to create predictable execution, faster decision‑making, and clear, investor‑grade communication of progress against strategic milestones.


Stakeholder & Board Relations

* Act as the primary liaison with the Board, shareholders, and the investor community.
* Build confidence through transparent reporting, governance rigour, and consistent performance against commitments.
* Own the investor narrative: Craft and deliver a credible turnaround story that connects current performance to future scalability for intrinsic investors and small‑cap managers.
* Broker & analyst engagement: Proactively cultivate sell‑side research coverage and corporate advisory relationships to broaden distribution and support trading liquidity.
* Registry strategy: Orchestrate the transition from fatigued long‑term holders to aligned institutional investors supportive of the AI growth thesis.
* Continuous disclosure discipline: Maintain high‑integrity ASX communications that eliminate information vacuums and reduce speculative volatility.


Market Positioning & Thought Leadership

* Position Prophecy as a global leader in cybersecurity and analytics, elevating brand visibility and relevance.
* Represent the company through thought leadership, strategic PR, and high‑impact industry engagement.
* Narrative amplification: Leverage investor days, partner showcases, and data‑driven updates to reinforce credibility and momentum.


Required Skills & Experience


CEO/Executive Track Record

* Proven CEO or senior executive experience in turnaround or transformation within global software or cybersecurity organisations.
* Minimum 4–5 years of CEO experience in turnaround or transformation roles.
* Demonstrated success driving profitable international growth under challenging conditions.
* Deep understanding of cybersecurity ecosystems and data analytics platforms, with credibility in enterprise and public‑sector contexts.
* Strong financial acumen with full P&L responsibility and governance expertise.
* Deep understanding of SaaS.


Strategic Partnerships & Commercial Execution

* Experience managing global sales channels and partner networks, including alliances and OEMs.
* Track record in developing and executing OEM agreements, strategic alliances, and partner ecosystems.
* Ability to negotiate complex commercial agreements and structure partnerships that deliver mutual value and long‑term growth.
* Experience driving POC initiatives to validate product‑market fit and accelerate enterprise adoption.
* Future M&A capability: understanding of strategic fit assessment, valuation principles, and integration planning for potential acquisitions.


Capital Markets & Investor Narrative

* Strategic rerating experience: Proven ability to shift valuation from legacy/service to SaaS multiples through product, pricing, and ARR improvements.
* Investor engagement: Skilled in building credibility with institutional investors, brokers, and analysts; experienced in roadshows and market communications.
* Narrative discipline: Strong “Say/Do” track record with milestone‑based transparency to build trust and reduce volatility.
* Registry optimisation: Knowledge of shareholder base transitions and institutional alignment.
* Fundamental improvement: Ability to enhance key financial quality metrics to attract long‑term and quant‑driven capital.


Governance, Compliance & Leadership

* ASX continuous disclosure mastery and best‑practice market communications.
* Exceptional leadership and change management skills, including partnering closely with the CHRO to shape organisational design, change, culture and talent strategy.
* Experience restructuring organisations for scalability and efficiency; skilled in aligning leadership teams and embedding cultural change during transformation.
* Ability to make tough decisions, set clear priorities, and deliver results under pressure.
