The Role
Reporting to the Governance Manager and working closely with the General Counsel and broader legal team, this role plays a key part in supporting the organisation's corporate governance and company secretarial obligations. You will be hands-on across entity management, statutory filings, committee administration and governance best practice, while also providing broader administrative support to the legal function.
This is a well‐rounded governance role suited to someone who enjoys detail, structure and stakeholder interaction, and who wants to build depth in an in‐house environment.
Key Responsibilities
* Support the Governance Manager with corporate secretariat and entity management matters across a large group structure
* Maintain corporate records and complete statutory filings, including ASIC and other regulatory lodgements
* Assist with the establishment, maintenance and wind-up of companies, trusts and joint ventures
* Coordinate annual reviews, business name and trademark renewals, and statutory payments
* Prepare written resolutions and assist with governance documentation for entity changes and transactions
* Coordinate quarterly committee and board meetings, including agendas, papers, calendars and follow‐ups
* Maintain and administer the electronic board portal and support directors and committee members
* Assist with drafting, reviewing and finalising committee and board minutes
* Contribute to the development and continuous improvement of governance policies, templates and procedures
* Support bank guarantee administration, insurance compliance and licence renewals
* Manage DocuSign processes for resolutions and project documentation
* Provide general administrative support to the legal and governance team, including reporting and mailbox management
* Stay across legislative and regulatory changes impacting corporate entity management
About You
* Degree qualified in Law, Economics, Accounting or a related discipline
* 2–3 years' experience in a governance, company secretarial or board administration role
* Hands-on experience with ASIC filings and corporate records management
* Strong organisational skills with the ability to manage competing priorities and deadlines
* High attention to detail and a methodical approach to work
* Confident communicator with the ability to build effective relationships across all levels
* Discreet, professional and comfortable handling confidential information
* Proactive, adaptable and able to work both independently and collaboratively
* Advanced proficiency in Microsoft Outlook, Word and PowerPoint, with intermediate Excel skills
* Experience with governance platforms such as BoardVantage, Diligent, DocuSign or SAP will be highly regarded
