**Company Secretary - NSW Government Statutory Corporation**
- Sydney based role, with WFH/Office blend.
- Two-year contract, renewable, two to three days per week.

Our client is a statutory corporation that ensures certain energy interests owned by the State are managed commercially and strategically to achieve successful outcomes for NSW.
The Company Secretary is responsible for the day-to-day governance and compliance of the Corporation, working with all stakeholders and agencies to ensure the Corporation meets all its obligations in carrying out its legislative mandate to provide effective stewardship and oversight of the energy interests it holds.
**Key Responsibilities**:
- Assist in the conduct of Board meetings and performance of governance obligations and responsibilities: establishing a Board program, arranging formal
Board meetings and written resolutions, preparing board papers, together with review and timely provision of materials to enable decisions to be made. Provide support for Board performance and succession requirements
- Recording and maintaining minutes and resolutions and facilitating the implementation of decisions/actions of the Board
- Developing and maintaining appropriate systems and records to ensure good governance, compliance and effective operations (including for management and maintenance of commercial confidentiality over information)
- Managing insurance requirements (D&O, liability and other insurance, if any)
- Provision of governance advice and support in relation to the above including ensuring that Board endorsed policies are applied
- Under the direction of the General Manager, interfacing with NSW Treasury, and State agencies relevant to activities and mandate
**Key Requirements**
- Relevant tertiary qualifications (ideally legal)
- Experience establishing, maintaining and updating compliance, document production and management, reporting and other corporate systems using appropriate technology
- Experience working in a multi-stakeholder environment, including public and private sector stakeholders
- Experience working autonomously in a lean organization with significant personal responsibility.
- Organised, high attention to detail, shows initiative and good judgement, takes ownership of tasks and achieves results,, commercial acumen, tech savvy, appreciates the regulatory basis of the organisation and the need to work in the public interest.
Membership of a recognised governance body will be well regarded (eg Governance Institute of Australia)
