**Job Opportunity**
We are seeking a highly skilled and experienced Company Secretary to provide expert advice and support to our General Counsel. The ideal candidate will have a strong understanding of ASX Listing Rules, compliance requirements, and corporate governance principles.
The successful applicant will be responsible for coordinating Board meetings, preparing meeting materials, and administering employee share plans. They will also contribute to corporate reporting and governance, including ESG reporting, governance statements, and materials for investor and proxy adviser engagement.
Key responsibilities include:
* Supporting the General Counsel with ASX and Corporations Act compliance.
* Coordinating Board meetings and preparing meeting materials.
* Administering and managing employee share plan obligations.
* Contributing to corporate reporting and governance.
The successful candidate will possess:
* A minimum 6 years' experience in a company secretarial role within an ASX-listed environment.
* Strong understanding of ASX Listing Rules and relevant compliance requirements.
* Knowledge of ESG and corporate governance reporting obligations.
* Familiarity with proxy adviser engagement and stakeholder communications.
* Experience with employee share plans and their administration.
* Solid grasp of corporate governance principles for ASX-listed entities.
